THE BEATLES (USA) LIMITED CORPORATE RECORDS


Lever-Arch folder with documents in three sections with labelled dividers: "Minutes and By-Laws", with minutes of Organization Meeting, 27 February 1964, and minutes of subsequent board meetings, each set of minutes signed by three directors (Brian Epstein, Walter Hofer, Sandra Hofer), concluding with a special meeting on 27 March 1967 which saw the replacement of the Hofers with Nathan Weiss, with documents including Certificate of Incorporation (carbon copy) and specimen share certificate, also list of By Laws; "Certificates", with bundle of stock certificates including specimen, receipts for issued certificates (three issued, only one receipt filled in), and blank certificates; "Stock Transfer Ledger", blank; also the corporate seal stamp in black plastic wallet


AN IMPORTANT SET OF DOCUMENTS RELATING TO THE BEATLES'S BUSINESS AFFAIRS IN AMERICA. Walter Hofer was an entertainment lawyer based in New York who was employed by Brian Epstein. Hofer played an important role in helping the band the break America, for example in negotiations over their appearance on the Ed Sullivan Show. He was replaced on the board in 1967 by Nathan (Nat) Weiss, another New York lawyer and personal friend of Brian Epstein. Epstein and Weiss together formed the management company Nemperor Artists, and Weiss went on to have a very distinguished career in the entertainment industry.
