GUIDA PER GLI ACQUIRENTI IN UN’ASTA ONLINE ONLY DI SOTHEBY’S ITALIA

Le seguenti pagine sono finalizzate a fornire informazioni utili su come comprare in un’Asta Online Only. Prima di partecipare ad un’Asta Online Only, è importante che Lei legga le seguenti informazioni in modo da familiarizzare con la Piattaforma Online Only. E’ inoltre importante che Lei legga le Condizioni Generali di Vendita (Online Only) indicate di seguito e che comprenda che Sotheby’s agisce in qualità di mandataria del venditore. La preghiamo di fare riferimento alle Clausole 2 e 3 delle Condizioni Generali di Vendita (Online Only). Le definizioni qui di seguito presenti hanno il medesimo significato di quelle contenute nelle Condizioni Generali di Vendita (Online Only), tranne nelle ipotesi in cui il contesto richieda diversamente.

Si prega di notare che i Mandanti dell’asta online intitolata “Hermès Handbags & Accessories Online” sono da ritenersi Consumatori ai sensi del Codice del Consumo e, pertanto, il diritto di recesso per gli acquisti dei lotti compresi in quest’asta non sarà applicabile (in base alla Condizione 11 delle Condizioni Generali di Vendita (Online Only))

1. REGISTRARE UN ACCOUNT VERIFICATO CON SOTHEBY'S

Per poter partecipare ad una Asta Online Only, Lei deve aver registrato, e mantenere, un Account Verificato. Il procedimento di registrazione richiede di inserire i dati della Sua carta di debito o di credito, il Suo indirizzo fiscale e di confermare di aver letto e accettato i Termini e le Condizioni e la Privacy Policy del sito www.sothebys.com. Per formulare offerte in un’Asta Online Only, Lei deve figurare come un Titolare di Account Verificato prima che sia chiusa la vendita per il primo Lotto della relativa Asta Online Only nella quale Lei intende partecipare (il procedimento di partecipazione all’asta Le chiederà di fornire alcune informazioni a Sotheby’s). Ulteriori informazioni in merito a come diventare un Titolare di Account Verificato sono indicate nella Clausola 5 delle Condizioni Generali di Vendita (Online Only).

Una volta completato il procedimento di registrazione necessario per diventare un Titolare di Account Verificato, Lei potrà partecipare alla relativa Asta Online Only utilizzando Il Suo username e la Sua password. 2. VISIONARE I LOTTI OFFERTI IN VENDITA ALL’ASTA ONLINE ONLY

Una volta che sia aperta l’Asta Online Only di Sua scelta, le Informazioni di Vendita Online relative a ciascun Lotto offerto in vendita all’Asta Online Only saranno a Lei disponibili per essere consultate.

Stime pre-asta

Come indicato nelle Condizioni Generali di Vendita (Online Only), le Informazioni di Vendita Online riferite a ciascun Lotto includono le stime pre-asta, che sono fornite da Sotheby’s come una guida per potenziali Offerenti al fine di assisterli nella formulazione di una appropriata offerta con riferimento a ciascun Lotto. Qualsiasi offerta per un importo compreso tra la più alta stima pre-asta e la più bassa stima pre-asta indicata nelle Informazioni di Vendita Online con riferimento a ciascun Lotto offra possibilità di successo.

Ciò posto, è importante che Lei comprenda che ciascun Lotto può realizzare prezzi che possono essere superiori o inferiori alle stime pre-asta. E’ consigliabile controllare le stime pre-asta prima di trasmettere una offerta. Si prega di notare che le stime pre-asta indicate nelle Informazioni di Vendita Online non includono la Commissione di Acquisto, l’IVA (o qualsiasi importo in sostituzione di IVA) o qualsiasi Diritto di Seguito applicabile.

Condizione dei Lotti

Le Informazioni di Vendita Online includono le descrizioni contenute nel catalogo online del Lotto; qualsiasi condition report online fornito con riferimento al Lotto da Sotheby’s, il quale deve intendersi ad esclusiva convenienza degli Offerenti (le immagini online del Lotto devono considerarsi parte di tale condition report); qualsiasi altra informazione relativa al Lotto o alla modalità di conduzione dell’Asta Online Only pubblicata sulla Piattaforma Online Only (inclusa la presente Guida per gli Acquirenti in un’Asta Online Only).

Tutti i Lotti sono offerti in vendita alle condizioni sussistenti al momento della vendita all’Asta Online Only. Qualsiasi riferimento alle condizioni contenuto nelle Informazioni di Vendita Online non descrive completamente le condizioni del Lotto e l’assenza di qualsiasi riferimento alle condizioni del Lotto nella descrizione del catalogo online non implica che il Lotto sia privo di difetti o imperfezioni. E’ importante che Lei comprenda che non avrà opportunità di ispezionare il Lotto prima di trasmettere una offerta con riferimento al Lotto. La preghiamo di fare riferimento alla Clausola 3 delle Condizioni Generali di Vendita (Online Only) per maggiori informazioni riferite ai presupposti ai quali la Sua offerta può essere trasmessa.

Trattamento e condizione delle gemme

Secondo prassi, le gemme sono state trattate con una varietà di tecniche finalizzate a migliorarne il colore e, in generale, l’aspetto. Di solito, i rubini e gli zaffiri sono trattati termicamente e gli smeraldi sono trattati con oli o resine per migliorarne il colore e la trasparenza. Queste e altre tecniche, come la tintura, l’irradiazione, il rivestimento e l’impregnazione, potrebbero essere utilizzate su altre gemme. Sebbene sia opinione diffusa che i trattamenti termici siano permanenti, gli acquirenti devono considerare che nessun trattamento è permanente e che nel tempo potrebbero essere necessarie alcune cure speciali sulle pietre. Si ricorda ai potenziali acquirenti che, tranne nelle ipotesi in cui la descrizione contenuta nel catalogo non indichi specificatamente che la pietra sia naturale, abbiamo dato per assunto che siano stati fatti dei trattamenti e che gli stessi non siano permanenti. Le nostre stime pre-asta riflettono questo assunto.

Qualora Sotheby’s sia in possesso di rapporti di laboratorio contenenti informazioni specifiche in merito al trattamento di una pietra, questi rapporti sono disponibili per l’esame da parte dei potenziali acquirenti. Nella descrizione del bene verrà indicato se sono disponibili rapporti provenienti da laboratori gemmologici di rilievo internazionale. Nuove forme di trattamento e nuovi metodi scientifici di analisi vengono costantemente sviluppati. Conseguentemente, potrebbe non esservi consenso tra i laboratori in merito a come le gemme sono state trattate, i limiti del trattamento o la permanenza di questi trattamenti. I riferimenti contenuti nella descrizione del catalogo pubblicato online a certificati o rapporti rilasciati da laboratori gemmologici sono effettuati solo a fini informativi degli Offerenti; Sotheby’s non garantisce e non accetta nessuna responsabilità con riferimento alla accuratezza, ai termini e alle informazioni contenuti in questi certificati o rapporti. Siete pregati di notare che i laboratori possono sviluppare valutazioni differenti con riferimento a una pietra preziosa (inclusa la loro origine e presenza, tipo ed estensione dei trattamenti) e i loro certificati o rapporti potrebbero contenere risultati differenti.

Provenienza

In alcune circostanze Sotheby’s può pubblicare nella descrizione del catalogo online la storia della proprietà di un’opera, se quell’informazione possa contribuire al suo studio o se sia comunque ben nota e valga a distinguere la stessa opera. Tuttavia, l’identità del venditore o dei precedenti proprietari potrà non essere resa pubblica per una serie di ragioni. Per esempio, quell’informazione potrà essere esclusa per assecondare

la richiesta di riservatezza da parte del venditore o perché l’identità del precedente proprietario non è nota a causa dell’età dell’opera.

Modalità di formulazione delle offerte

Nel caso in cui una persona a cui sia stata concessa la possibilità di effettuare un’offerta relativa ad un Lotto abbia un interesse diretto o indiretto sul medesimo, quale ad esempio il beneficiario o l’esecutore testamentario che abbia venduto il Lotto, oppure il comproprietario del Lotto o un’altra parte che abbia prestato una garanzia per il Lotto, Sotheby’s gliene darà notizia per email e pubblicherà un avviso nelle Informazioni di Vendita Online che specifichi che soggetti con un interesse nel Lotto potranno formulare offerte con riferimento al Lotto. A certe condizioni le parti interessate potranno essere a conoscenza della riserva. I dipendenti di Sotheby’s posso formulare offerte solo qualora il dipendente che intende formulare l’offerta non conosca la riserva e rispetti pienamente la normativa interna di Sotheby’s relativa alle offerte dei dipendenti.

Informazioni relative al trasporto e alla consegna

Le Informazioni di Vendita Online includono il riferimento ad un calcolatore dei costi di trasporto che è stato sviluppato da Sotheby’s al fine di permetterLe di prevedere l’importo che Lei dovrà pagare per ottenere il trasporto del Lotto presso il Suo indirizzo di spedizione (inclusa IVA e i relativi costi di assicurazione e di imballaggio) nell’ipotesi in cui Lei risulti aggiudicatario del Lotto; questo Le permetterà di considerare questi costi nella Sua valutazione in merito a quale offerta possa risultare la più appropriata. Si prega di notare che il costo di trasporto generato dal calcolatore potrebbe risultare differente dagli effettivi Costi di Trasporto dell’Acquirente.

Sotheby’s è sempre disponibile a discutere con Lei di qualsiasi Lotto al quale Lei sia interessato. Ulteriori richieste di informazioni possono essere inviate tramite il bottone “Request Info” (Richiesta Info) che appare sulla Piattaforma Online Only vicino alla scheda del Lotto.

3. INVIO DI UNA OFFERTA PER UN LOTTO IN UNA ASTA ONLINE ONLY

Un’Asta Online Only procede velocemente. Le altre offerte possono aumentare molto velocemente. Una volta che Lei ha creato un Account Verificato, Lei sarà in grado di trasmettere una offerta per il Lotto digitando la Sua offerta massima e cliccando sul tasto “Leave Bid” (Lascia Bid) che appare sulla Piattaforma Online Only di fianco al Lotto. Qualora Lei non risulti ancora essere un Titolare di Account Verificato, Le sarà richiesto di ottenere questo account prima di formulare l’offerta. Dopodiché, Le sarà richiesto di controllare e confermare la Sua offerta massima. La sua offerta sarà inviata non appena è stato cliccato il bottone “Leave Bid” (Lascia Bid) (che appare sulla Piattaforma Online Only vicino al Lotto). Lei riconosce e accetta che un’offerta possa essere trasmessa utilizzando il tasto “Leave Bid” (Lascia Bid).

Le offerte possono essere inviate attraverso la Piattaforma Online Only a partire dall’inizio dell’Asta Online Only e sino a quando il relativo Lotto non sia più offerto in vendita. Per effettuare un’offerta Le verrà richiesto di inserire la Sua offerta massima (la quale è rappresentata dal prezzo più alto che Lei è disposto a pagare per il Lotto). La Piattaforma Online Only eseguirà offerte incrementali per Suo conto fino all’offerta massima a condizione che Lei sia il miglior Offerente. Sotheby’s utilizza incrementi di offerte pre-determinati. La preghiamo di fare riferimento al link che espone gli incrementi di offerte che appare sulla Piattaforma Online Only vicino al Lotto. Nell’ipotesi di due offerte massime di importo equivalente, prevarrà la prima offerta ricevuta.

4. MONITORAGGIO DELLE OFFERTE

Lei riceverà una email nell’ipotesi in cui la sua offerta in qualsiasi momento non risulti essere la più alta; questa email conterrà un link che Le permetterà di aumentare la Sua offerta. Sotheby’s Le suggerisce di controllare le offerte sui Lotti nel corso della durata dell’Asta Online Only al fine di assicurarsi che la Sua offerta sia la più alta fino alla chiusura dell’Asta Online Only.

5. TERMINE DELL’ASTA ONLINE ONLY

Il termine dell’asta per ciascun Lotto è indicato sulla Piattaforma Online Only, vicino al Lotto. Il Lotto non sarà più offerto in vendita entro il termine indicato sulla Piattaforma Online Only vicino al Lotto a meno che un’offerta sia effettuata entro 1 minuto prima che il Lotto di riferimento non sia più offerto in vendita. In questa circostanza, Sotheby’s prorogherà la vendita del Lotto di riferimento di 5 minuti rispetto a quando è stata effettuata l’ultima offerta. La proroga del tempo entro il quale, con riferimento ad un Lotto, possono essere formulate offerte, non incide sul termine di chiusura dei Lotti successivi. Ciò potrebbe comportare il mancato rispetto dell’ordine di chiusura dell’asta con riferimento ai Lotti.

6. PAGAMENTO

Qualora Lei risulti aggiudicatario del Lotto, Sotheby’s Le invierà per email la Fattura dell’Acquirente relativa all’ammontare totale da Lei dovuto (unitamente alle istruzioni sul pagamento) non appena possibile successivamente a quando l’ultimo Lotto della relativa Asta Online Only non è più offerto in vendita.

Il pagamento da parte del soggetto indicato nella fattura è dovuto integralmente a partire dalla data indicata nella Fattura dell’Acquirente. La preghiamo di notare che Sotheby’s si riserva il diritto di rifiutare pagamenti provenienti da persone diverse dall’Acquirente e che in tale ipotesi sarà richiesta l’esibizione di una autorizzazione alla effettuazione di questi pagamenti. Può contattare Sotheby’s per qualsiasi domanda relativa alla richiesta di ottenere l’autorizzazione ad effettuare i pagamenti.

L’Acquirente riconosce che il contratto di vendita tra l’Acquirente e il Venditore è concluso quando il Lotto di riferimento non è più offerto in vendita attraverso l’Asta Online Only e l’offerta dell’Acquirente è risultata la più alta.

L’aggiudicatario di un Lotto offerto in vendita nel corso di un’Asta Online Only è obbligato a corrispondere una Commissione di Acquisto. La Commissione di Acquisto è aggiunta al Prezzo di Aggiudicazione e costituisce parte del Prezzo di Acquisto dovuto dall’aggiudicatario. Con riferimento all’Asta Online Only condotta da Sotheby’s in Italia, la percentuale della Commissione di Acquisto è calcolata come segue: (i) 30,5% del Prezzo di Aggiudicazione qualora esso sia pari o inferiore a euro 180.000,00; (ii) 24.4% di qualsiasi importo superiore a euro 180.000,00, sino all’importo di euro 2.000.000,00 (compreso) e (iii) 15,74% di qualsiasi importo superiore ad euro 2.000.000,00. Tutte le percentuali sopra indicate comprendo l’IVA o un importo in sostituzione di IVA.

In base a quanto previsto nelle presenti Condizioni Generali di Vendita (Online Only), Sotheby’s accetta i seguenti strumenti di pagamento: bonifici in euro, assegni in euro, pagamenti in contanti (personalmente e solo presso la sede di Sotheby’s Italia S.r.l.), carte di debito. Si prega di fare riferimento alla Clausola 8 delle Condizioni Generali di Vendita (Online Only) per ulteriori dettagli in merito al pagamento del Lotto aggiudicato.

Successivamente alla vendita del Lotto, l’Acquirente riceverà da Sotheby’s la Fattura dell’Acquirente. L’Acquirente dovrà confermare il proprio indirizzo di spedizione e comunicare se intende ricevere un preventivo inerente il trasporto del Lotto da parte di un trasportatore indicato da Sotheby’s. Qualora Lei comunichi di voler utilizzare il trasportatore indicato da Sotheby’s, quest’ultimo La contatterà per email, indicandoLe i costi per il trasporto e allegando il contratto da sottoscrivere. Nell’ipotesi in cui Lei abbia titolo per un rimborso IVA riferito al Suo indirizzo di spedizione, Sotheby’s emetterà una nuova Fattura dell’Acquirente.

A condizione che la Fattura dell’Acquirente sia stata completamente pagata entro la data di pagamento indicata nella fattura, l’Acquirente abbia pagato i Costi di Trasporto dell’Acquirente (qualora l’Acquirente abbia scelto il trasportatore indicato da Sotheby’s), qualsiasi pagamento riferito al Lotto sia stato eseguito e che qualsiasi attestato di libera circolazione, licenza di esportazione o certificato (qualora richiesti) sia stato fornito a Sotheby’s, quest’ultima consegnerà il Lotto acquistato all’Acquirente o al trasportatore in modo che sia consegnato all’indirizzo di spedizione entro trenta (30) giorni decorrenti dalla chiusura della relativa Asta Online Only.

Qualora Lei risulti l’Acquirente del Lotto, Le sarà altresì richiesto di pagare, se del caso: l’IVA, le tasse di importazione, i dazi doganali e le imposte di sdoganamento applicabili nel Suo Paese, il Diritto di Seguito, i Costi di Trasporto dell’Acquirente (che comprendono i costi assicurativi). Per maggiori informazioni, è pregato di fare riferimento alle Condizioni Generali di Vendita (Online Only).

Si prega di notare le seguenti informazioni in merito agli strumenti di pagamento accettati da Sotheby’s:

• Sotheby’s non può accettare pagamenti singoli o multipli in contanti per importi superiori ad euro 3.000,00.

• Sotheby’s richiede a qualsiasi nuovo cliente o nuovo acquirente che preferisca pagare in contanti in euro: la prova della propria identità (mediante un documento pubblico contenente una fotografia, come un passaporto, la carta di identità e la patente di guida) e la conferma del proprio domicilio o residenza. La ringraziamo per la Sua collaborazione.

• Assegni: devono essere intestati a Sotheby’s Italia S.r.l. Sebbene assegni in euro di persone e società emessi da banche italiane siano accettati, Sotheby’s non rilascerà il Lotto fino a quando tali assegni non siano stati incassati.

• Bonifici: i nostri riferimenti bancari sono indicati nelle nostre fatture. Nel bonifico è pregato di indicare il Suo nome e cognome, numero di account Sotheby’s e numero di fattura.

7. ULTERIORI INFORMAZIONI IN MERITO A TRASPORTO, ESPORTAZIONE DEL LOTTO E QUESTIONI RELATIVE

Tutte le spedizioni devono essere disimballate e controllate al momento della consegna e qualsiasi difformità deve essere immediatamente comunicata al trasportatore.

L’esportazione di opere d’arte dall’Italia è soggetta al Decreto Legislativo del 22 Gennaio 2004, n. 42 (“Codice dei Beni Culturali”) e successive modificazioni. L’esportazione di opere d’arte dall’Unione Europea è disciplinata dal Regolamento n. 3911/92, successivamente modificato dal Regolamento CEE n. 2469/96 e dal Regolamento CEE n. 974/01.

E’ responsabilità dell’Acquirente ottenere qualsiasi attestato di libera circolazione o licenza di esportazione eventualmente richiesti. Il mancato ottenimento dell’attestato di libera circolazione o della licenza di esportazione non può giustificare la risoluzione della vendita o qualsiasi ritardo del pagamento dell’ammontare totale dovuto.

Su richiesta e pagamento di un costo amministrativo, il trasportatore indicato da Sotheby’s ai sensi della Clausola 10 può presentare la richiesta per ottenere l’attestato di libera circolazione o la licenza di esportazione necessari per esportare il Lotto.

Sotheby’s Le raccomanda di conservare tutti i documenti relativi alla importazione ed esportazione, inclusi gli attestati di libera circolazione e le licenze, in quanto in certi Paesi Le potrà essere richiesta la loro esibizione alle autorità governative.

Si prega di notare che il trasportatore indicato da Sotheby’s ai sensi della Clausola 10 non può effettuare la consegna nelle località specificatamente indicate come zone escluse nel calcolatore dei costi di trasporto disponibile nella Piattaforma Online Only (ciascuna una “Destinazione non Disponibile”). Nell’ipotesi in cui Lei richieda la consegna di un Lotto presso una Destinazione non Disponibile, Sotheby’s si riserva il diritto di richiederLe di ritirare il Lotto presso il deposito di Sotheby’s sito in via Alassio 10, Milano o di organizzare il ritiro del Lotto attraverso un trasportatore terzo.

Specie protette: Tutti i beni fatti o contenenti parti di piante o animali, come ad esempio corallo, coccodrillo, avorio, osso di balena, tartaruga, etc., indipendentemente dall’età e dal valore, potrebbero richiedere una licenza o un certificato prima dell’esportazione e richiedere ulteriori licenze o certificati per l’importazione nei paesi Extra CEE. Si prega di notare che l’aver ottenuto la licenza o il certificato di esportazione non garantisce alcuna licenza o certificato per l’importazione in un altro Paese e vice versa. Per esempio, è illegale importare avorio di elefanti africani negli Stati Uniti; inoltre ci sono ulteriori restrizioni all’importazione di avorio negli Stati Uniti in base a determinate leggi statunitensi concepite per conservare la fauna selvatica. Sotheby’s consiglia ai potenziali acquirenti di controllare le proprie legislazioni circa i requisiti necessari per le importazioni di beni fatti o contenenti specie protette. E’ responsabilità dell’Acquirente ottenere tali licenze/certificati di importazione o esportazione, così come ogni altro documento richiesto. Si prega di fare riferimento alla Clausola 10 delle Condizioni Generali di Vendita (Online Only). Sotheby’s non assiste gli Acquirenti nella spedizione di qualsiasi Lotto contenente avorio e/o altri materiali oggetto di restrizione alla importazione negli Stati Uniti. L’impossibilità o incapacità di un Acquirente di esportare o importare questi Lotti non può giustificare un ritardo nel pagamento o la cancellazione della vendita.

Sanzioni Economiche degli Stati Uniti: gli Stati Uniti applicano sanzioni economiche e commerciali contro alcuni gruppi o organizzazioni identificati. Potrebbero esistere restrizioni alla importazione negli Stati Uniti con riguardo a certi beni provenienti da Paesi sottoposti a sanzioni, incluso Burma, Cuba, Iran, Nord Corea e Sudan. L’impossibilità o incapacità dell’Acquirente di importare beni negli Stati Uniti o in qualsiasi altro Paese come effetto di queste o altre restrizioni non può giustificare la cancellazione o risoluzione della vendita o qualsiasi ritardo nel pagamento. La preghiamo di controllare con gli specialisti di dipartimento qualora Lei non sia certo se un Lotto sia soggetto a queste restrizioni alla importazione o a qualsiasi altra restrizione alla importazione o esportazione.

IVA E ALTRE INFORMAZIONI FISCALI PER GLI ACQUIRENTI

Si prega di notare che, ai fini fiscali, Sotheby’s agisce in qualità di mandataria senza rappresentanza. Ai sensi delle Direttiva EU 2006/112/EC del 28 novembre 2006 i lotti vengono venduti come fossero di proprietà di Sotheby’s. L’aggiudicatario del Lotto in un’Asta Only è responsabile per il pagamento di tutte le tasse applicabili; in alcuni casi potrà essere applicata l’IVA o altra tassa sulla vendita e/o sulle eventuali commissioni, il cui importo sarà indicato nella Fattura dell’Acquirente. I paragrafi che seguono forniscono agli Acquirenti esclusivamente delle linee guida generali in merito all’IVA ed alle possibili implicazioni fiscali relative all’acquisto del Lotto attraverso Sotheby’s, le informazioni sono riferite alle casistiche più frequenti e non devono intendersi come esaustive. In ogni caso, gli importi dovuti e la possibilità dei rimborsi IVA sono dipendenti dalle specifiche condizioni dell’Acquirente in base alla norma fiscale in vigore al momento della vendita del Lotto nel corso dell’Asta Online Only; per i Lotti venduti in temporanea importazione, la percentuale applicabile sarà quella in vigore alla data di chiusura della relativa Asta Online Only.

Nei successivi paragrafi, i simboli IVA si intendono riferiti ai simboli presenti sotto il numero del Lotto o le stime prevendita del catalogo (o alle comunicazioni di modifiche relative all’offerta in vendita del lotto).

1. LOTTO SENZA SIMBOLO IVA

Qualora non sia indicato un simbolo IVA, il Lotto viene venduto nel Regime del Margine senza addebito dell’IVA sul Prezzo di Aggiudicazione e con inclusione dell’IVA negli importi relativi a commissione e oneri accessori, se addebitati. Sotheby’s è tenuta al versamento dell’IVA calcolata sulla Commissione di Acquisto e, pertanto, applicherà a questa commissione un importo IVA calcolato alla percentuale standard. Limitate categorie di prodotti, inclusi la maggior parte dei libri, non sono soggetti ad IVA e pertanto nessun importo IVA sarà aggiunto alla Commissione di Acquisto con riferimento alla vendita di questi beni. Se sussistenti, l’IVA sarà applicata anche ai dazi.

Si prega di fare riferimento alla sezione 3 (“Cessioni Intracomunitarie e Esportazioni”) per le condizioni da rispettare qualora l’importo IVA calcolato sulla Commissione di Acquisto sia cancellato o rimborsato.

Segnaliamo agli Acquirenti soggetti passivi IVA INTRAUE che l’importo IVA compreso nella Commissione di Acquisto non può essere cancellato o rimborsato da Sotheby’s o dalla “AGENZIA DELLE ENTRATE” italiana.

2. LOTTO CON IL SIMBOLO ‘ALPHA’

I Lotti venduti ad Acquirenti residenti nell’UE saranno considerati come rimasti nel territorio dell’UE. Il Lotto sarà fatturato come se non avesse il simbolo IVA (si veda la sezione 1 “Lotto senza simbolo IVA” di cui sopra).

I Lotti venduti ad Acquirenti ExtraUE saranno considerati come da esportare fuori dal territorio dell’l’Unione Europea. Il Lotto sarà fatturato in base alle normali regole IVA.

Nel caso in cui il Prezzo di Aggiudicazione sia soggetto all’IVA, ricorrendone le condizioni questa potrà essere cancellata o rimborsata – si veda la sezione “Cessioni intracomunitarie e esportazioni”.

3. CESSIONI INTRACOMUNITARIE E ESPORTAZIONI

Eventuali importi IVA possono essere accreditati o rimborsati a condizione che Sotheby’s riceva i documenti di esportazione appropriati.

Lotto senza simbolo IVA (si veda il paragrafo 1): Sotheby’s applica il Regime del Margine e l’IVA non sarà di norma applicata al Prezzo di Aggiudicazione ma solo alla commissione e agli oneri accessori se addebitati.

L’IVA eventualmente applicata e la Commissione di Acquisto potranno essere rimborsati a condizione che l’Acquirente sia un soggetto residente fuori dall’Unione Europea e il Lotto sia esportato fuori dall’Unione europea entro 90 giorni dalla vendita. Sotheby’s deve ricevere adeguata dimostrazione dell’avvenuta esportazione dei beni. La prova di avvenuta esportazione è costituita dalla copia della dichiarazione elettronica DAE integrata dal riferimento MRN e dalla notifica positiva di esportazione MRN rinvenibile sul sito delle dogane.

4. RIMBORSO DELL’IVA DA PARTE DELL’AGENZIA DELLE ENTRATE

In base all’articolo 38 quarter del D.P.R. 633/72, quando l’IVA è applicata e non può essere accreditata o rimborsata da Sotheby’s, ricorrendone le condizioni, è possibile richiedere il rimborso dall’“AGENZIA DELLE ENTRATE” italiana.

5. VENDITE E IMPOSTE

Gli Acquirenti stranieri prendono atto che possono essere dovute tasse e imposte conseguenti alla importazione dei beni acquistati (per esempio, la Use Tax dovuta sulla importazione di Lotti acquistati in certi Paesi degli Stati Uniti). Gli Acquirenti devono ottenere per proprio conto pareri a tale riguardo.

Tasse e imposte non verranno applicate qualora l’Acquirente fornisca a Sotheby’s un valido certificato di esenzione prima della consegna del Lotto. I clienti ai quali dovessero applicarsi queste tasse e imposte possono contattare Sotheby’s al seguente numero di telefono: +39 02.295001 (il centralino è aperto dal lunedì al venerdì, dalle 10:00 alle 13:00 e dalle 14:00 alle 18:00).

6. CALCOLATORE DEL COSTO DI TRASPORTO

Si prega di notare che tutti i lotti saranno spediti da Milano, Italia. Vi prego di notare che l’esportazione dei lotti è soggetta ai relativi permessi rilasciati dalle autorità competenti.

Per assisterLa nel capire i possibili costi di trasporto del lotto al Suo indirizzo, abbiamo preparato un calcolatore del costo di trasporto, al quale si può accedere su ogni pagina del lotto. Per usare questo calcolatore Le serviranno tre informazioni: il numero di lotto; il paese nel quale desidera che il lotto venga spedito; e la Sua offerta (il prezzo di aggiudicazione). La preghiamo di portare con sé copia della fattura di acquisto pagata e del Suo documento di identità valido al momento del ritiro del lotto. Se il trasportatore o una terza persona ritirerà il lotto per Suo conto, La pregiamo di mandare in anticipo copia del Suo documento di identità valido all’Amministrazione Acquirenti a : Alessandra.Berengan@Sothebys.com.

Ferrari SpA, una società di spedizioni italiana, farà in modo che i Suoi acquisti vengano imballati professionalmente e poi spediti in modo sicuro ed assicurato, tramite FedEx o tramite un altro trasportatore d’arte. Il prezzo di aggiudicazione (più eventuali IVA e/o Diritto di Seguito) influenzerà il costo esatto del trasporto, poiché il costo dell’assicurazione ed il relativo imballo sono in relazione al valore della spedizione. Tutti gli acquisti di quest’asta sono spediti usando il servizio prioritario, come richiesto dalla copertura assicurativa utilizzata per questo servizio, quando FedEx è coinvolta nella spedizione. Lei può usare il calcolatore del costo di spedizione per stabilire prima di fare la Sua offerta il costo indicativo del trasporto in cui Lei incorrerà, nel caso in cui sia l’aggiudicatario del lotto – ad esempio potrà voler inserire la Sua offerta massima per capire il costo indicativo massimo per quel lotto, oppure l’offerta alla quale spera di potersi aggiudicare il lotto. Si può accedere al calcolatore del costo di trasporto dalla pagina principale dell’asta.

Subito dopo la chiusura dell’asta, Lei riceverà la Sua fattura dall’Amministrazione Acquirenti di Sotheby’s. Le verrà chiesto di confermare che Le interessa ricevere un preventivo di trasporto e il Suo indirizzo di spedizione. In tal caso, Sotheby’s inoltrerà la Sua richiesta al trasportatore Ferrari SpA. Il Trasportatore Le invierà un preventivo di trasporto che indicherà separatamente i costi di trasporto ed assicurazione ed includerà i termini di assicurazione. Lei dovrà comunicare l’accettazione di tale preventivo e pagare direttamente il servizio al trasportatore, dopo di che i lotti potranno essere rilasciati.

Non siamo in grado di offrire una spedizione attraverso questa modalità in tutte le destinazioni. Se il Suo paese di destinazione non è elencato nella tendina del menu nel calcolatore del costo di trasporto, La preghiamo di contattare Sotheby’s (i dettagli dei contatti sono nella pagina del calcolatore del costo di trasporto) e fornire i dettagli del numero di lotto, l’indirizzo al quale desidera spedire il lotto e l’offerta massima. Nella maggior parte dei casi siamo in grado di fornire una soluzione per la spedizione e un costo stimato basandoci sul valore della spedizione ipotizzato; eventuali differenze nel prezzo finale del lotto potranno modificare il costo finale della spedizione che Le verrà addebitato.

Le richieste per trasporti in paesi non elencati o eventuali spedizioni groupage dovranno essere fatte non più tardi di 72 ore in anticipo alla chiusura dell’asta, poiché potremmo dover chiedere il preventivo a più trasportatori per effettuare il servizio richiesto.

Da ultimo, si prega di notare che alcuni lotti potrebbero non essere spediti in talune destinazioni (ad esempio i lotti di origine Iraniana non possono essere spediti negli Stati GCC) e sebbene il calcolatore del costo di trasporto ne fornisca il costo, nelle note si potrà leggere il motivo per il quale esiste una restrizione nella spedizione. La restrizione nella spedizione in tali destinazioni non costituisce giustificazione per cancellare l’acquisto, e Lei deve fare riferimento ai termini e condizioni per gli Acquirenti che regolano l’asta online.

Le informazioni relative al ritiro dei lotti acquistati da Sotheby’s saranno disponibili sulla fattura di acquisto.

CONDIZIONI GENERALI DI VENDITA (ONLINE ONLY) DI SOTHEBY’S ITALIA

Le presenti Condizioni Generali di Vendita (Online Only) disciplinano le condizioni alle quali il Venditore offre i Lotti in vendita agli Offerenti.

Prima di effettuare un’offerta relativa a qualsiasi Lotto, Lei dovrebbe leggere le presenti Condizioni Generali di Vendita (Online Only) e le Informazioni di Vendita Online (che includono le, ma non sono limitate alle, Condizioni Generali di Vendita (Online Only) indicate di seguito). In particolare, l’attenzione dell’Offerente dovrebbe essere diretta alla Clausola 4 infra, che contiene limitazioni specifiche ed esclusioni della responsabilità di Sotheby’s e del Venditore.

Presentando offerte per un Lotto ad un’Asta Online Only attraverso la Piattaforma Online Only, Lei accetta che le presenti Condizioni Generali di Vendita (Online Only) e le Informazioni di Vendita Online siano per Lei vincolanti. Nell’ipotesi in cui risulti aggiudicatario di un Lotto in un’Asta Online Only, Lei accetta che le presenti Condizioni Generali di Vendita (Online Only) e le Informazioni di Vendita Online applicabili costituiscano il contratto tra Sotheby’s, i Venditori e gli Offerenti.

1. Introduzione

(a) I rapporti tra Sotheby’s, i Venditori e i potenziali Acquirenti sono disciplinati da:

(i) le presenti Condizioni Generali di Vendita (Online Only);

(ii) le Condizioni Generali di Mandato (Online Only) di cui può richiedere una copia;

(iii) le Informazioni di Vendita Online (che includono la, ma non si limitano alla, Guida per gli Acquirenti in un’Asta Online Only di cui sopra); e

(iv) la Garanzia di Autenticità di Sotheby’s, come applicabile al Lotto (indicata sotto).

(b) Le Informazioni di Vendita Online indicheranno il proprietario del Lotto immediatamente prima dell’inizio dell’Asta Online Only alternativamente come (i) un soggetto terzo (in questo caso Sotheby’s agisce come mandataria del Venditore) oppure (ii) Sotheby’s (in questo caso Sotheby’s agisce come Venditore). Nell’ipotesi (i) Sotheby’s fornisce dei servizi al Venditore che includono la, ma non si limitano alla, conclusione del contratto, il quale è da ritenersi concluso tra il Venditore e l’Acquirente (il ruolo di Sotheby’s è quello di mandataria del Venditore). Nell’ipotesi (ii), Sotheby’s è proprietaria del Lotto in modo esclusivo o in comproprietà e/o può avere un interesse legale o economico con riferimento al Lotto in qualità di creditore garantito o per altre ragioni.

(c) Le Informazioni di Vendita Online indicheranno altresì se il Venditore è un Consumatore (e pertanto, non un Professionista) ai fini del Codice del Consumo. Ciò è importante perché il Codice del Consumo prevede che se il Venditore è un Professionista e l’Acquirente un Consumatore, il Consumatore è titolare del diritto di recedere dal contratto di acquisto del Lotto (ciò, in base alla procedura indicata alla Clausola 11 delle Condizioni Generali di Vendita (Online Only)). Nei casi in cui il Venditore sia un Consumatore, il diritto di recedere dall’acquisto del Lotto non si applica.

2. Definizioni

Nelle presenti Condizioni Generali di Vendita (Online Only):

"Spese Aggiuntive dell’Acquirente" sono qualsiasi costo o spesa dovuti a Sotheby’s dall’Acquirente da pagare con riferimento alla vendita del Lotto e comprendono qualsiasi importo dovuto a titolo IVA;

“Diritto di Seguito” è il diritto degli autori di opere d’arte e di manoscritti, e dei loro aventi causa, di ricevere un compenso sul prezzo di ogni vendita dell’originale successiva alla prima. Il Diritto di Seguito è dovuto solo se il prezzo della vendita non è inferiore a euro 3.000,00. Esso è così determinato:

4% per la parte del prezzo di vendita compresa tra euro 0 e euro 50.000,00;

3% per la parte del prezzo di vendita compresa tra euro 50.000,01 e euro 200.000,00;

1% per la parte del prezzo di vendita compresa tra euro 200.000,01 e euro 350.000,00;

0,5% per la parte del prezzo di vendita compresa tra euro 350.000,01 e euro 500.000,00;

0,25% per la parte del prezzo di vendita superiore a euro 500.000,00.

L’importo del compenso non può essere comunque superiore a euro 12.500,00.

"Offerente" è qualsiasi persona che intenda effettuare o che stia cercando di o che stia effettuando una offerta in un’Asta Online Only e include l’Acquirente (anche definito “Lei” nelle presenti Condizioni Generali di Vendita (Online Only));

"Acquirente" è la persona che effettua l’offerta più alta per un Lotto nell’ambito dell’Asta Online Only attraverso la Piattaforma Online Only (definita anche “Lei” nelle presente Condizioni Generali di Vendita (Online Only));

“Fattura dell’Acquirente” è la fattura per il Prezzo di Acquisto del Lotto acquistato;

“Commissione di Acquisto” è la commissione dovuta dall’Acquirente calcolata sul Prezzo di Aggiudicazione (in base alle percentuali indicate nella Guida per gli Acquirenti in un’Asta Online Only di cui sopra), oltre l’IVA applicabile o importo in sostituzione di IVA;

“Costi di Trasporto dell’Acquirente” sono qualsiasi costo di imballaggio e di trasporto nonché le spese (compreso qualsiasi costo per la copertura assicurativa del trasporto e l’ottenimento di qualsiasi autorizzazione eventualmente richiesta per esportare il Lotto) dovuto dall’Acquirente al trasportatore indicato da Sotheby’s per il trasporto del Lotto all’Acquirente;

“Codice del Consumo” è il Decreto Legislativo del 6 settembre 2005, n. 206;

"Contraffazione" è come definita nella Garanzia di Autenticità di Sotheby’s (indicata sotto);

“Codice dei Beni Culturali” è il Decreto Legislativo 22 gennaio 2004, n. 42;

“Data di Pagamento” è il termine entro il quale l’Acquirente deve pagare l’ammontare totale dovuto per il Lotto acquistato;

"Prezzo di Aggiudicazione" è la più alta offerta accettata proveniente dall’Offerente per il Lotto nel corso dell’Asta Online Only;

“Lotto” è un bene offerto in vendita all’Asta Online Only sulla Piattaforma Online Only (il termine “Lotti” dovrà essere conformemente interpretato);

“Periodo di Recesso dalla Vendita Online” è il periodo di quattordici (14) giorni decorrente dal giorno in cui il Consumatore (o un soggetto terzo, diverso dal vettore e designato dal Consumatore) acquisisce il possesso fisico dei beni;

“Periodo di Recesso dal Servizio Online” è il periodo di quattordici (14) giorni decorrente dal giorno di conclusione del contratto;

“Consumatore” è una persona fisica sita nell’Unione europea che acquista un Lotto per scopi estranei, totalmente o in parte, all’attività imprenditoriale, commerciale, artigianale o professionale eventualmente svolta;

“Asta Online Only” è la vendita di un Lotto condotta esclusivamente attraverso la Piattaforma Online Only fornita da Sotheby’s e dai suoi partners;

“Piattaforma Online Only” è la piattaforma di vendita esclusivamente online, e i servizi tecnici ad essa associati esclusivamente accessibile online e che permette agli Acquirenti di formulare offerte e acquistare i Lotti in un’asta a tempo;

“Informazioni di Vendita Online” sono le informazioni sul Lotto, che comprendo le, ma non sono limitate alle, stime pre-asta, qualsiasi informazione sulla provenienza, la descrizione del Lotto presente sul catalogo online; qualsiasi condition report fornito da Sotheby’s con riferimento al Lotto (il quale comprende le immagini online del Lotto); qualsiasi altra informazione relativa al Lotto o alla conduzione dell’Asta Online Only pubblicata sulla Piattaforma Online Only (inclusa la, ma non limitata alla, Guida per gli Acquirenti in un’Asta Online Only di cui sopra); qualsiasi comunicazione a video relativa all’Asta Online Only;

“Professionista” è la persona, fisica o giuridica, che figura come Venditore del Lotto e che agisce nell’Asta Online Only per scopi connessi alla propria attività commerciale, d’affari, di produzione o professionale;

"Prezzo di Acquisto" è il Prezzo di Aggiudicazione e la Commissione di Acquisto dovuta (che include qualsiasi IVA applicabile) nonché il Diritto di Seguito, ove applicabile;

"Riserva" è il prezzo minimo confidenziale che il Venditore è disposto ad accettare per un Lotto, sotto al quale il Lotto non può essere venduto;

"Venditore" è la persona che offre in vendita il Lotto (incluso il proprio rappresentante (diverso da Sotheby’s), esecutore testamentario o rappresentante legale;

"Sotheby's" è la Sotheby’s Italia S.r.l., con sede in Palazzo Serbelloni, Corso Venezia 16, 20121, Milano, con capitale sociale pari ad euro 252.200,00;

"Società del Gruppo Sotheby’s" è qualunque società controllata da, o sotto comune controllo di, o controllante la “Sotheby’s” ai sensi dell’art. 2359, comma 1 nn. 1) e 2) c.c. e dell’art. 93 del decreto legislativo 24 febbraio 1998 n. 58, nonché qualunque società controllata da società controllante la Sotheby’s nonché Sotheby’s Diamonds S.A. e le sue controllate;

"IVA" è l’Imposta sul Valore Aggiunto al tasso praticato. Ulteriori informazioni sono contenute nella Guida per gli Acquirenti in un’Asta Online Only sopra indicata;

“Account Verificato” è la tipologia di account di Sotheby’s necessario al titolare di un account per (i) registrarsi ad una vendita; e (ii) formulare offerte in un’asta (incluse le, ma non limitate alle, Aste Online Only); e

“Titolare di Account Verificato” è la persona o società che è titolare e continua ad essere titolare di un Account Verificato.

3. Obblighi dell’Offerente e di Sotheby’s con riferimento ai beni in vendita

(a) Sotheby’s riconosce di fare parzialmente affidamento, in relazione a ciascun Lotto, alle informazioni fornite dal Venditore, e che non è nelle condizioni di svolgere (come di fatto non svolge) una completa due diligence riferita a ciascun Lotto. Gli Offerenti riconoscono questa circostanza e accettano di svolgere verifiche che siano per loro soddisfacenti con riferimento ai Lotti ai quali potrebbero essere interessati.

(b) Gli Offerenti riconoscono che molti Lotti sono antichi e/o usati e ciò implica che essi non siano in perfette condizioni. Tutti i lotti sono offerti in vendita nelle condizioni nelle quali si trovano al momento della vendita nella relativa Asta Online Only. Qualsiasi riferimento alle condizioni del Lotto contenuto nelle Informazioni di Vendita Online non potrà essere riconosciuto come una descrizione completa del Lotto e l’assenza di qualsiasi riferimento alle condizioni del Lotto nella descrizione del catalogo online non implica che il Lotto sia privo di difetti o imperfezioni. Potrebbero essere disponibili dei condition reports per assistere gli Offerenti nel valutare le condizioni del Lotto, da ritenersi esclusivamente a scopo informativo. Le immagini online del Lotto sono parte del condition report fornito da Sotheby’s. Alcune immagini online del Lotto potrebbero non riflettere accuratamente la condizione attuale del Lotto. In particolare, le immagini online potrebbero rappresentare colori e sfumature differenti rispetto agli effettivi colori e sfumature del Lotto. Le Informazioni di Vendita Online e/o il condition report riferito al Lotto potrebbero fare riferimento a particolari imperfezioni del Lotto, si prega di notare che il Lotto potrebbe avere altri difetti non espressamente indicati nel condition report del Lotto o mostrati nelle immagini online del Lotto. Il condition report potrebbe non indicare tutti i difetti, i restauri, le alterazioni o modifiche in quanto Sotheby’s non è un restauratore professionista e il condition report riflette l’opinione in buona fede di Sotheby’s. Per tale ragione, il condition report di Sotheby’s non è una alternativa ad un parere professionale riferito alle condizioni del Lotto. Si prega di notare che tutti i beni elettronici e meccanici sono venduti esclusivamente sulla base del loro valore artistico e decorativo e non devono ritenersi funzionanti. E’ essenziale che prima di qualsiasi utilizzo, i componenti elettrici di qualsiasi Lotto siano controllati e approvati da un elettricista qualificato.

(c) Le Informazioni di Vendita Online fornite agli Offerenti con riferimento al Lotto, e qualsiasi altra stima, sia scritta o orale, o qualsiasi altro report, commento o valutazione, non rappresentano una circostanza oggettiva ma costituiscono piuttosto l’opinione di Sotheby’s. Qualsiasi stima non dovrebbe essere interpretata come una previsione del prezzo di vendita e può essere rivista di volta in volta da Sotheby’s a sua esclusiva discrezione.

(d) Con riferimento a qualsiasi Lotto, nessuna garanzia o impegno sono forniti o prestati da Sotheby’s o dal Venditore in merito alla esistenza o meno di diritti d’autore o se l’Acquirente è titolare dei diritti d’autore sul Lotto.

(e) Fatti salvi i casi indicati alle Clausole 3(a)-(d) comprese, di cui sopra, e le specifiche esclusioni contenute nella Clausola 4 infra, Sotheby’s impiegherà ragionevole cura nel rendere dichiarazioni esplicite nelle Informazioni di Vendita Online (che includono la, ma non sono limitate alla, descrizione del catalogo e a qualsiasi condition report riferito al Lotto) in conformità alla ordinaria diligenza che un Offerente si aspetterebbe ragionevolmente da una casa d’aste quale Sotheby’s, prendendo in considerazione la stima del Lotto di riferimento e alla luce:

(i) delle informazioni fornite a Sotheby’s dal Venditore;

(ii) delle conoscenze tecniche e degli esperti; e

(iii) delle opinioni generalmente accettate dei relativi esperti, in ogni caso al momento in cui tali opinioni sono state rese.

4. Esclusioni e limitazioni di responsabilità degli Acquirenti

(a) Sotheby’s rimborserà il Prezzo di Acquisto all’Acquirente nelle ipotesi in cui il Lotto è ritenuto essere una Contraffazione e qualsiasi delle condizioni indicate nella Garanzia di Autenticità applicabile sono state soddisfatte.

(b) In base a quanto indicato alla Clausola 3 di cui sopra e posto quanto indicato alle Clausole 4(a) e 4(e), né Sotheby’s, né il Venditore:

(i) sono responsabili per errori o omissioni nelle informazioni fornite all’Offerente da Sotheby’s (o da qualsiasi Società del Gruppo Sotheby’s), sia orale che scritta, colposa e non, eccetto quanto indicato alla Clausola 3(e) di cui sopra;

(ii) fornisce qualsiasi garanzia o impegno agli Offerenti e pertanto qualsiasi impegno e condizione sono esclusi (tranne nelle ipotesi in cui tali obbligazioni non possono essere escluse per legge), eccezion fatta per gli impegni espressi prestati dal Venditore all’Acquirente alla Clausola 2 delle Condizioni Generali di Mandato (Online Only);

(iii) è responsabile nei confronti di qualsiasi Offerente con riferimento ad atti o omissioni (per colpa e non) di Sotheby’s in relazione alla conduzione dell’Asta Online Only e/o alla operatività della Piattaforma Online Only o per qualsiasi altra questione relativa alla vendita di qualsiasi Lotto.

(c) Tranne nell’ipotesi in cui Sotheby’s sia proprietaria del Lotto offerto in vendita, Sotheby’s non è responsabile per violazioni delle presenti condizioni da parte del Venditore.

(d) Fatto salvo quanto indicato alla Clausola 4(b), qualsiasi azione legale contro Sotheby’s o il Venditore intrapresa dall’Acquirente sarà limitata al Prezzo di Acquisto con riferimento al relativo Lotto. Né Sotheby’s né il Venditore potranno in nessun caso ritenersi responsabili per qualsiasi danno indiretto o diretto.

(e) Niente di quanto contenuto nella presente Clausola 4 può escludere o limitare la responsabilità di Sotheby’s con riferimento a qualsiasi falsa dichiarazione fraudolenta di Sotheby’s o del Venditore o con riferimento alla morte o danni personali causati da atti o omissioni colpevoli di Sotheby’s o del Venditore.

Fatto salvo quanto previsto dalle Clausola 4 (a)-(e) comprese, di cui sopra, qualora il Venditore sia un Professionista e l’Acquirente un Consumatore, l’Acquirente può esercitare la garanzia legale di conformità con riferimento al Lotto ai sensi degli articoli 128 e seguenti del Codice del Consumo.

5. Registrazione per formulare offerte in un’Asta Online Only

(a) Al fine di formulare offerte in un’Asta Online Only, Lei deve creare un Account Verificato (in base alla procedura indicata al punto 5(b) e 5(c) infra).

(b) Qualora Lei non abbia già effettuato offerte online in un’asta di Sotheby’s, Lei dovrà creare un Account Verificato in modo da potersi registrare per l’Asta Online Only di Suo gradimento e per essere in grado di formulare offerte in tale Asta Online Only. Il procedimento di registrazione richiede che Lei trasmetta la Sua richiesta di aprire un Account Verificato prima che sia chiusa la vendita del primo Lotto della relativa Asta Online Only alla quale Lei intende partecipare (Le sarà richiesto di fornire alcune informazioni a Sotheby’s come parte del procedimento di registrazione). (c) Qualora Lei abbia già creato un Account Verificato, Lei può iscriversi alla relativa Asta Online Only utilizzando il Suo username e la Sua password. Una volta che Lei si è registrato per una particolare Asta Online Only, Lei può trasmettere offerte utilizzando il Suo Account Verificato esistente (qualora Lei abbia molteplici account, Lei dovrà selezionare l’account dal quale desidera partecipare per quella particolare Asta Online Only). Per accedere al Suo Account Verificato è pregato di seguire le istruzioni fornite al seguente link:

(d) Registrandosi per formulare offerte in un’Asta Online Only (sia come persona fisica, sia in nome di una società), Lei riconosce e accetta che qualora abbia trasmesso offerte in un’Asta Online Only (i) per proprio conto, Lei accetta personalmente la responsabilità di pagare l’importo indicato alla Clausola 8(b) infra in qualità di mandante e (ii) in qualità di mandatario per un terzo identificato, Lei accetta di essere solidalmente responsabile di pagare il Prezzo di Acquisto insieme al mandante.

(e) Per creare un Account Verificato, Lei dovrà completare le informazioni a tal fine richieste, anche in merito a informazioni sulla carta di credito o altri metodi di pagamento accettati. Sotheby’s ha assoluta facoltà di rifiutare una richiesta di registrazione ad un’Asta Online Only o una offerta formulata in un’Asta Online Only. Nell’ambito del procedimento di registrazione, Sotheby’s ha assoluta facoltà, di volta in volta, di richiedere agli Offerenti di integrare informazioni e riferimenti.

(f) Sotheby’s si riserva il diritto di disattivare il Suo Account Verificato in qualsiasi momento prima, durante o dopo un’Asta Online Only.

6. Formulare offerte in un’Asta Online Only

(a) L’offerta inizia ad importo specificato (il quale è inferiore alla più bassa stima prevendita per il Lotto) e aumenta con incrementi di offerte che sono indicati nelle Informazioni di Vendita Online con riferimento al Lotto e che sono determinati in base alla discrezionalità di Sotheby’s. Sotheby’s può variare l’importo degli incrementi delle offerte durante un’Asta Online Only a propria esclusiva discrezione. Possono essere formulate offerte per un Lotto solamente nei giorni e orari indicati nelle Informazioni di Vendita Online con riferimento alla relativa Asta Online Only.

(b) Un’Asta Online Only procede con rapidità. Le altre offerte possono aumentare molto velocemente. Una volta che Lei ha creato un Account Verificato, sarà in grado di trasmettere una offerta per il Lotto digitando la Sua offerta massima e cliccando sul tasto “Leave Bid” (Lascia Bid) che appare sulla Piattaforma Online Only di fianco al Lotto. Qualora Lei non si sia ancora registrato in qualità di Titolare di Account Verificato, Le sarà richiesto di farlo in questa occasione. Successivamente, Le sarà richiesto di verificare e confermare la Sua offerta massima. La sua offerta sarà inviata non appena è stato cliccato il bottone “Leave Bid” (Lascia Bid). Lei riconosce e accetta che un’offerta sia trasmessa utilizzando il tasto “Leave Bid” (Lascia Bid). Qualsiasi Offerente avrà la possibilità di modificare, ritirare o revocare fino a 3 distinte offerte formulate nell’ambito di un’Asta Online Only; successivamente, la Piattaforma Online Only non Le permetterà in nessun caso di modificare, ritirare o revocare un’offerta. Qualora un’offerta sia validamente trasmessa con riferimento ad un Lotto in un’Asta Online Only dal computer o dispositivo mobile dell’Offerente, quest’ultimo irrevocabilmente accetta di pagare tutto l’importo indicato nella Clausola 8(b) infra. Sotheby’s non è responsabile per errori compiuti dall’Offerente nella formulazione di offerte per un Lotto. Sotheby’s si riserva il diritto di riaprire un’Asta Online Only o le offerte ad oggetto un singolo Lotto qualora Sotheby’s ritenga necessario o appropriato o comunque ragionevole procedere in tal senso.

(c) La Piattaforma Online Only Le permette di formulare offerte conformi con uno degli incrementi indicati nella tabella delle offerte incrementali disponibili accanto al Lotto.

(d) Lei riceverà, qualora abbia formulato l’offerta momentaneamente più alta, una comunicazione dalla Piattaforma Online Only che La informerà che la Sua offerta è la più alta. Qualora un altro Offerente dovesse formulare un’offerta più alta, Lei riceverà una email che La informerà di questa circostanza.

(e) Qualora Lei dovesse trasmettere una offerta per un importo oggetto di una offerta già accettata, la Sua offerta sarà respinta.

(f) A meno che Sotheby’s non decida di esercitare le facoltà di cui alla Clausola 6(g) infra, l’offerta più alta al momento in cui il Lotto non è più offerto in vendita rappresenterà l’offerta vincente. Ciò significa che a conclusione dell’Asta Online Only un contratto di vendita dovrà intendersi concluso tra il Venditore e l’Acquirente. L’aggiudicatario riceverà una email che indicherà ogni Lotto aggiudicato e riceverà una fattura di Sotheby’s in base a quanto previsto dalla Clausola 8 infra.

(g) La registrazione della vendita effettuata nell’ambito di un’Asta Online Only conservata da Sotheby’s sarà considerata come prova incontestabile in qualsiasi procedimento. Nell’ipotesi di qualsiasi difformità tra la registrazione della vendita effettuata in un’Asta Online Only e conservata da Sotheby’s e qualsiasi messaggio o comunicazione a Lei indirizzato con riferimento alla Sua offerta per un Lotto e/o la relativa Asta Online Only, prevarrà la registrazione della vendita effettuata nell’Asta Online Only conservata da Sotheby’s.

(h) Sotheby’s si riserva il diritto, a propria esclusiva e assoluta discrezione, di rigettare, revocare o rifiutare di accettare qualsiasi offerta per un Lotto formulata utilizzando la Piattaforma Online Only, anche con riferimento a quelle offerte che in precedenza sono state accettate; di ritirare qualsiasi Lotto prima o durante l’Asta Online Only senza che Sotheby’s possa ritenersi in qualsiasi modo responsabile con riferimento a tale ritiro; di dividere o unire qualsiasi Lotto; di iniziare nuovamente l’asta con riferimento ad un Lotto nell’ambito di un’Asta Online Only.

7. Operatività della Piattaforma Online Only

(a) Salvo che sia diversamente specificato, tutti i Lotti sono sottoposti ad una Riserva, la quale non può essere più alta della più bassa stima prevendita sussistente all’orario di inizio della relativa Asta Online Only. Qualora qualsiasi Lotto non sia soggetto alla Riserva, il simbolo ‘No Reserve’ (Nessuna Riserva) sarà esposto vicino al Lotto nelle Informazioni di Vendita Online. In nessun caso il sistema permetterà la presentazione di offerte per conto del Venditore alla Riserva o per importo ad essa inferiori.

(b) Sotheby’s mette a disposizione la Piattaforma Online Only come servizio per i propri clienti. La Piattaforma Online Only sarà utilizzata da Sotheby’s impiegando la ragionevole diligenza. L’applicazione che permette la partecipazione in un’Asta Online Only attraverso la Piattaforma Online Only è ottimizzata per la banda larga (DSL o cavo modem). La banda larga o limiti di capacità di internet, firewall delle società e altri problemi tecnici indipendenti dal nostro ragionevole controllo potrebbero creare difficoltà per alcuni utenti, per esempio, con riferimento all’accesso all’Asta Online Only attraverso la Piattaforma Online Only o nel mantenimento di tale accesso. Sotheby’s non potrà ritenersi responsabile per errori o inosservanze degli Offerenti nel trasmettere offerte utilizzando la Piattaforma Online Only attraverso internet o dispositivi mobili (tranne quando tali errori o inosservanze rientrino nel ragionevole controllo di Sotheby’s), incluso, senza limitazione, errori o inosservanze derivanti da: (i) qualsiasi perdita di connessione tra gli Offerenti e la Piattaforma Online Only; (ii) un guasto o difetto del software che permette le offerte online o di altri servizi tecnici collegati alla Piattaforma Online Only; e/o (iii) un guasto o un difetto di qualsiasi connessione internet, computer, dispositivo o sistema mobile.

(c) In quanto potenziale Offerente, Lei è a conoscenza e accetta che potrebbe non avere la possibilità di ispezionare i beni prima di formulare offerte in un’Asta Online Only.

8. Pagamento per un Lotto acquistato

(a) Qualora Lei risulti aggiudicatario di un Lotto, riceverà per email una fattura da parte di Sotheby’s non appena sia possibile dopo che non sia più offerto in vendita l’ultimo Lotto della relativa Asta Online Only. Nell’ipotesi di difformità tra qualsiasi comunicazione contenuta nella email a Lei indirizzata dalla Piattaforma Online Only e la fattura a Lei inviata per email da Sotheby’s successivamente alla chiusura della relativa Asta Online Only, la fattura prevarrà. Termini e condizioni di pagamento della fattura sono indicati di seguito.

L’Acquirente riconosce che il contratto di vendita tra l’Acquirente e il Venditore è concluso quando l’Asta Online Only riferita al Lotto è terminata e l’offerta del relativo offerente è stata la più alta e vincente.

(b) La fattura per il Prezzo di Acquisto del Lotto acquistato (la “Fattura dell’Acquirente”) comprenderà:

(i) il Prezzo di Aggiudicazione;

(ii) la Commissione di Acquisto;

(iii) il Diritto di Seguito, se dovuto; e

(iv) qualsiasi altra imposta, tassa sui beni, sulle vendite o sui servizi o IVA, se dovute.

Salvo quanto previsto dalla Clausola 10(e), successivamente alla vendita del Lotto, l’Acquirente riceverà da Sotheby’s la Fattura dell’Acquirente. L’Acquirente dovrà confermare il proprio indirizzo di spedizione e comunicare se intende ricevere un preventivo inerente il trasporto del Lotto da parte di un trasportatore indicato da Sotheby’s. Qualora Lei comunichi di voler utilizzare il trasportatore indicato da Sotheby’s, quest’ultimo La contatterà per email, indicandoLe i costi per il trasporto e allegando il contratto da sottoscrivere. Diversamente, l’Acquirente deve sottoscrivere un contratto di trasporto con un trasportatore terzo. Si prega di fare riferimento alla Clausola 10 delle presenti Condizioni Generali di Vendita (Online Only) per ulteriori informazioni. Per gli Acquirenti internazionali i termini di vendita valgono come DAT (Delivered at Terminal) o DAP (Delivered at Place). Qualora Lei abbia acquistato un Lotto al fine di esportarlo dall’Italia, Lei riconosce e accetta che è Sua responsabilità accertarsi e pagare tutte le imposte, gli oneri doganali, le tasse, gli oneri e le tariffe dovute alla relativa amministrazione pubblica o che debba in ogni caso pagare queste somme prima del trasporto e/o della consegna, ciò anche con riferimento a oneri di terze parti necessari per agevolare il trasporto.

La Fattura dell’Acquirente verrà trasmessa solo a condizione che l’Acquirente persona fisica abbia inviato a Sotheby’s copia di un suo valido documento di identità (ad esempio, carta di identità, passaporto, patente di guida) e, per quanto riguarda l’Acquirente di cittadinanza italiana, copia del proprio codice fiscale. Nell’ipotesi in cui l’Acquirente sia una persona giuridica, la Fattura dell’Acquirente verrà trasmessa solo a condizione che Sotheby’s riceva copia della visura camerale della società (aggiornata alla data dell’aggiudicazione del Lotto), copia di un valido documento di identità del legale rappresentante (ad esempio, carta di identità, passaporto, patente di guida) e copia del codice fiscale di quest’ultimo, qualora legale rappresentante di una società con sede in Italia. Inoltre, l’Acquirente dovrà comunicare a Sotheby’s le generalità o la denominazione del “titolare effettivo” dell’operazione ai sensi del D. Lgs. 231/2007, qualora esistente.

(c) Sotheby’s applica all’Acquirente una Commissione di Acquisto sul Prezzo di Aggiudicazione di ciascun Lotto venduto. L’importo della Commissione di Acquisto è indicata nella Guida per gli Acquirenti in un’Asta Online Only di cui sopra.

(d) L’Acquirente di un Lotto è l’unico responsabile del pagamento di qualsiasi IVA (inclusa, ma non limitata a, qualsiasi IVA di importazione), di tasse sulla vendita o sul valore aggiunto o qualsiasi altra simile tassa dovuta come risultato della vendita del Lotto. Ulteriori informazioni e linee guida in merito all’applicazione di tali tasse sono fornite nella Guida per gli Acquirenti in un’Asta Online Only di cui sopra.

(e) In certi casi, leggi locali attribuiscono il diritto degli artisti e dei loro aventi causa di ottenere il Diritto di Seguito nell’ipotesi in cui sia stato venduto qualsiasi Lotto creato dall’artista. Qualora queste leggi trovino applicazione per il Lotto, l’Acquirente deve corrispondere a Sotheby’s un importo addizionale pari al Diritto di Seguito. Ulteriori informazioni e linee guida sull’applicazione del Diritto di Seguito sono fornite nella Guida per gli Acquirenti in un’Asta Online Only di cui sopra.

(f) Salvo diverso accordo, il pagamento dell’ammontare totale dovuto indicato nella fattura d’acquisto per un Lotto è dovuto dall’Acquirente immediatamente a seguito della ricezione della fattura di Sotheby’s emessa con riferimento al Lotto acquistato e in qualsiasi caso non più tardi di 48 ore a decorrere dalla ricezione della comunicazione da parte di Sotheby’s (la “Data di Pagamento”), indipendentemente da qualsiasi necessità di ottenere autorizzazioni per l’esportazione, l’importazione o altri permessi per il Lotto di riferimento. Sotheby’s accetterà solo un pagamento proveniente dall’Offerente registrato e non modificherà il nome dell’Acquirente sulla fattura e non emetterà una nuova fattura con un nome differente rispetto a quello dell’Offerente registrato. Qualora Lei si sia registrato per presentare offerte in un’asta come società, la Sua società dovrà pagare qualsiasi acquisto con il nome della società attraverso un metodo di pagamento accettato. Non sono permessi pagamenti parziali del Lotto o pagamenti con differenti carte di credito per un singolo Lotto. Ulteriori informazioni in merito ai metodi di pagamento accettati sono indicati nella Guida per gli Acquirenti in un’Asta Only Auction di cui sopra.

(g) Il diritto di proprietà del Lotto acquistato non si trasferirà sino a quando Sotheby’s non avrà ricevuto l’ammontare totale dovuto per il Lotto in base alla Clausola 8(b) di cui sopra in fondi immediatamente disponibili. Sotheby’s non è obbligata a rilasciare un Lotto all’Acquirente sino a quando il diritto di proprietà del Lotto non si sia trasferito, sia stata fornita prova sulla identità e qualsiasi precedente rilascio non abbia inciso sul trasferimento della proprietà o sull’obbligo incondizionato dell’Acquirente di pagare l’ammontare totale dovuto per quel Lotto in base alla Clausola 8(b) di cui sopra.

(h) Il rischio e la responsabilità per il Lotto acquistato si trasferirà all’Acquirente come segue: (i) se il trasportatore indicato all’Acquirente da Sotheby’s consegna il Lotto all’Acquirente, quando il Lotto entra nel possesso fisico dell’Acquirente o una persona incaricata dall’Acquirente prende possesso fisico del Lotto per conto dell’Acquirente; oppure (ii) qualora il ritiro da parte dell’Acquirente sia permesso con riferimento alla relativa Asta Online Only, quando l’Acquirente ritira il Lotto. Ad ogni modo, il rischio si trasferisce all’Acquirente con la consegna al trasportatore, qualora il trasportatore sia stato scelto indipendentemente dall’Acquirente per trasportare e consegnare il Lotto e il trasportatore non sia stato indicato da Sotheby’s, senza pregiudizio dei diritti dell’Acquirente nei confronti del trasportatore. In quanto Acquirente, Lei riconosce e accetta che il Lotto è a Suo rischio qualora Lei decida di esercitare il diritto di recedere dal contratto di acquisto del Lotto (in base alla procedura indicata alla Clausola 11 infra) e che pertanto Lei deve preoccuparsi di garantire il Lotto contro la perdita e il danno sino alla sua restituzione a Sotheby’s.

(i) Qualora Lei non corrisponda tutto l’ammontare totale dovuto per il Lotto/i Lotti acquistato/i in base alla Clausola 8(b) di cui sopra entro la Data di Pagamento, Sotheby’s avrà diritto di esercitare qualsiasi dei rimedi indicati alla Clausola 9 infra.

9. Mancato pagamento

(a) In caso di mancato o ritardato pagamento da parte dell’Acquirente, in tutto o in parte, dell’ammontare totale dovuto, Sotheby’s ha diritto, a propria scelta, di chiedere l’adempimento ovvero di risolvere il contratto di vendita a norma dell’art. 1454 c.c. intendendosi il termine per l’adempimento ivi previsto convenzionalmente pattuito in 5 giorni, salvo in ogni caso il diritto al risarcimento dei danni, nonché la facoltà di far vendere il lotto per conto ed a spese dell’Acquirente, a norma dell’art. 1515 c.c.

(b) In caso di mancato o ritardato pagamento da parte dell’Acquirente, in tutto o in parte, dell’ammontare totale dovuto, Sotheby’s ha diritto di imputare qualsiasi pagamento fatto dall’ Acquirente a Sotheby’s o ad altre Società del Gruppo Sotheby’s al debito dell’Acquirente rappresentato dall’ammontare totale dovuto ovvero a qualsiasi altro debito dell’Acquirente nei confronti di Sotheby’s o di altre Società del Gruppo Sotheby’s derivante da altri rapporti contrattuali.

(c) In caso di ritardo nel pagamento dell’ammontare totale dovuto per un periodo superiore a cinque (5) giorni lavorativi dalla data dell’asta Sotheby’s depositerà il Lotto presso di sé o altrove a rischio e onere dell’Acquirente. Sempre in caso di ritardo nel pagamento per un periodo superiore a quello sopra

indicato, l’Acquirente dovrà pagare a Sotheby’s interessi moratori pari a sette punti oltre al tasso legale, salvo il diritto di Sotheby’s al risarcimento del maggior danno.

(d) In caso di mancato o ritardato pagamento da parte dell’Acquirente Sotheby’s potrà rifiutare qualsiasi offerta fatta dall’Acquirente o da un suo rappresentante nel corso di aste future o chiedere all’Acquirente di depositare una somma di denaro, a titolo di garanzia, prima di accettare offerte.

(e) Sotheby’s, anche a nome e per conto di qualsiasi Società del Gruppo Sotheby’s, ha la facoltà di compensare ogni somma dovuta, a qualsiasi titolo, da sé o da qualsiasi Società del Gruppo Sotheby’s all’Acquirente con ogni somma dovuta da quest’ultimo, a qualsiasi titolo a Sotheby’s o a qualsiasi Società del Gruppo Sotheby’s.

10. Trasporto

(a) Come previsto alla Clausola 8 di cui sopra, appena possibile successivamente alla vendita del Lotto, l’Acquirente riceverà da Sotheby’s la Fattura dell’Acquirente. L’Acquirente dovrà confermare il proprio indirizzo di spedizione e comunicare se intende ricevere un preventivo inerente il trasporto del Lotto da parte di un trasportatore indicato da Sotheby’s. Qualora Lei comunichi di voler utilizzare il trasportatore indicato da Sotheby’s, quest’ultimo La contatterà per email, indicandoLe i costi per il trasporto e allegando il contratto da sottoscrivere. Nell’ipotesi in cui l’Acquirente abbia scelto il trasportatore indicato da Sotheby’s ai sensi della Clausola 8, una volta che l’Acquirente abbia pagato tutti i Costi di Trasporto dell’Acquirente e che il Lotto sia stato completamente pagato, il trasportatore consegnerà il Lotto acquistato all’Acquirente all’indirizzo comunicato, entro trenta (30) giorni dalla conclusione del contratto di vendita tra il Venditore e l’Acquirente, a meno che non sia stato diversamente e specificatamente concordato con il trasportatore. Nell’ipotesi in cui l’Acquirente abbia scelto un trasportatore terzo, Sotheby’s consegnerà il Lotto al trasportatore a condizione che il Lotto acquistato sia stato completamente pagato dall’Acquirente.

(b) L’Acquirente è responsabile per il pagamento dei Costi di Trasporto dell’Acquirente. Sotheby’s non è responsabile per azioni o omissioni poste in essere da terze parti in occasione dell’imballaggio e trasporto di un Lotto acquistato. Analogamente, quando Sotheby’s, su richiesta di un Acquirente, suggerisce o raccomanda qualsiasi soggetto terzo per l’imballaggio o il trasporto, Lei riconosce e accetta che Sotheby’s non assume la responsabilità per l’azione o omissione del soggetto terzo e accetta di manlevare Sotheby’s da qualsiasi responsabilità in tal senso.

(c) Qualsiasi Lotto venduto nel corso di un’Asta Online Only potrebbe essere oggetto di leggi sulla esportazione da parte del Paese nel quale è venduto e di restrizioni alla importazione negli altri Paesi. Molti Paesi richiedono una dichiarazione di esportazione per i beni che escono dal Paese e/o una dichiarazione di importazione per l’ingresso del bene nel Paese. L’ottenimento dei necessari permessi e/o licenze potrebbe comportare costi aggiuntivi e conseguenti ritardi. Leggi locali potrebbero impedirLe di importare un Lotto o di venderlo nel Paese nel quale è stato importato. E’ esclusiva responsabilità dell’Acquirente identificare e ottenere qualsiasi permesso di esportazione e importazione, per specie protette o qualsiasi altro permesso avente ad oggetto il Lotto. Qualsiasi simbolo o comunicazione nel catalogo di vendita riflette la ragionevole opinione di Sotheby’s al tempo della catalogazione e offre agli Acquirenti solamente linee guida generali. Per ulteriori linee guida in tema di restrizioni alla esportazione/importazione, si prega di fare riferimento alla Guida per gli Acquirenti in un’Asta Online Only sopra indicata.

(d) Fatto salvo quanto previsto dalla Clausole 3 e 4 di cui sopra, Sotheby’s e il Venditore non forniscono nessuna dichiarazione o garanzia in merito al fatto che qualsiasi Lotto sia o non sia soggetto a restrizioni alla esportazione o all’importazione o a qualsiasi embargo. Il ritardo nell’ottenimento di qualsiasi permesso o licenza non giustifica la cancellazione o la risoluzione del contratto di vendita o qualsiasi tipo di ritardo nel pagamento.

(e) Il trasportatore indicato da Sotheby’s non è in grado di organizzare la consegna in una Destinazione non Disponibile. Nell’ipotesi in cui Lei richieda la consegna di un Lotto presso una Destinazione non Disponibile, Sotheby’s si riserva il diritto di richiederLe di ritirare il Lotto presso il deposito di Sotheby’s sito in via Alassio 10, Milano o di organizzare il ritiro del Lotto tramite un trasportatore terzo.

11. Recesso da una Vendita Online Only

(a) Qualora l’Acquirente sia un Consumatore e il Venditore un Professionista, l’Acquirente è titolare del diritto di recedere dalla vendita tra il Professionista (vale a dire il Venditore) e il Consumatore (vale a dire l’Acquirente) nel corso del Periodo di Recesso della Vendita Online, ciò per qualsiasi motivo a condizione che: (i) il Consumatore informi debitamente Sotheby’s durante il Periodo di Recesso Online della propria intenzione di recedere dall’acquisto del Lotto; e (ii) il Consumatore restituisca il Lotto a Sotheby’s senza indebito ritardo e in qualsiasi caso non oltre quattordici (14) giorni di calendario dal giorno in cui il Consumatore ha comunicato a Sotheby’s la propria intenzione di recedere dall’acquisto del Lotto.

(b) Per esercitare il diritto di recere dal contratto di vendita riferito al Lotto, il Consumatore deve informare Sotheby’s (in quanto parte delle Società del Gruppo Sotheby’s e indicata nelle Informazioni sulla Vendita Online come società che vende il Lotto o come mandataria del Venditore o in proprio) della propria decisione di recedere dal contratto di vendita attraverso una dichiarazione esplicita (ad esempio, una lettera inviata per posta, fax o email). Alternativamente, il Consumatore può utilizzare il modulo di recesso tipo riportato sotto. Si riterrà che il Consumatore abbia receduto dal contratto di vendita entro il Periodo di Recesso Online qualora il Consumatore invii al Professionista la comunicazione relativa al recesso prima del termine del Periodo di Recesso Online.

(c) Qualora il Consumatore receda dal contratto di vendita entro il Periodo di Recesso Online, Sotheby’s rimborserà i pagamenti ricevuti dal Consumatore, senza indebito ritardo e in qualsiasi caso entro i quattordici (14) giorni di calendario dal giorno in cui Sotheby’s è stata informata della decisione del Consumatore di recedere dal contratto. Tranne nell’ipotesi in cui Sotheby’s si sia offerta di ritirare il Lotto, Sotheby’s può trattenere il rimborso sino a quando non abbia ricevuto il Lotto o il Consumatore non abbia dimostrato di aver spedito il Lotto in una modalità che Sotheby’s consideri adeguata a propria esclusiva discrezione, a seconda di quale situazione si verifichi per prima.

(d) Sotheby’s effettuerà il rimborso al Consumatore utilizzando il medesimo metodo di pagamento utilizzato dal Consumatore per la transazione iniziale, saldo diverso accordo espresso. Sotheby’s non addebiterà al Consumatore alcun importo in riferimento al procedimento di rimborso.

(e) Sotheby’s non effettuerà al Consumatore il rimborso di qualsiasi costo supplementare che si dovesse presentare qualora il Consumatore scelga una modalità di consegna diversa rispetto a quella meno costosa offerta da Sotheby’s o di qualsiasi onere di importazione che Sotheby’s sostenga come risultato della Vostra restituzione del Lotto a Sotheby’s. Sotheby’s ha titolo per detrarre dal rimborso l’importo di qualsiasi perdita di valore del Lotto causato da un maneggiamento non necessario del Lotto da Lei posto in essere.

(f) Lei dovrà restituire il Lotto o consegnarlo presso il nostro deposito sito a Milano, in via Alassio 10, senza indebito ritardo e in qualsiasi caso entro 14 giorni di calendario dal giorno successivo a quello nel quale Lei ha comunicato a Sotheby’s il recesso dall’acquisto. Questo termine è rispettato qualora Lei restituisca il Lotto prima della scadenza del periodo di 14 giorni di calendario. Lei dovrà sostenere i costi diretti di restituzione del Lotto. Qualora la restituzione sia organizzata da Sotheby’s, quest’ultima stima che il costo per la restituzione del Lotto mediante lo stesso trasportatore sia simile al costo iniziale di trasporto per il bene; Sotheby’s però non è in grado di essere più accurata in quanto tale costo è soggetto a variabili dipendenti dai metodi utilizzati per la restituzione.

12. Recesso dai Servizi

Se l’Acquirente è un Consumatore e il Venditore un Consumatore, l’Acquirente non è titolare del diritto di recedere dal contratto di vendita (in base alla Clausola 11 di cui sopra). Ad ogni modo, l’Acquirente ha diritto di recedere dal contratto inerente il servizio di trasporto fornito all’Acquirente dal trasportatore proposto da Sotheby’s in relazione all’acquisto del Lotto durante il Periodo di Recesso dal Servizio Online senza dover fornire alcuna motivazione.

13. Miscellanea

(a) Tutte le immagini e gli altri materiali prodotti per l’asta sono soggetti al copyright di Sotheby’s e possono essere utilizzati a discrezione di Sotheby’s.

(b) Le comunicazioni dirette a Sotheby’s devono essere effettuate per iscritto e dirette al dipartimento competente per la vendita e contenere il numero di riferimento indicato all’inizio del catalogo. Le comunicazioni ai clienti di Sotheby’s devono essere indirizzate all’ultimo indirizzo da loro formalmente comunicato a Sotheby’s.

(c) Qualora qualsiasi disposizione delle presenti Condizioni Generali di Vendita (Online Only) dovesse essere dichiarata inefficace per qualsiasi motivo, le rimanenti disposizioni troveranno piena applicazione.

(d) Le presenti Condizioni Generali di Vendita (Online Only) non sono trasferibili dall’Acquirente senza il preventivo consenso scritto di Sotheby’s, ma sono vincolanti per i successori, aventi causa e rappresentanti dell’Acquirente. Nessun atto, omissione o ritardo di Sotheby’s potrà essere interpretato come una rinuncia a qualsiasi di questi diritti.

(e) I documenti indicati alla Clausola 1(a) di cui sopra costituiscono l’intero accordo tra le parti con riferimento ai rapporti qui indicati. Le parti accettano che, salva la responsabilità per falsa dichiarazione fraudolenta, nessuna parte ha sottoscritto alcun contratto ai sensi delle presenti clausola che faccia affidamento su qualsiasi rappresentazione, garanzia, impegno che non sia espressamente indicato in tali documenti.

14. Dati personali

Sotheby’s utilizzerà le informazioni fornite dai propri clienti (o che comunque ottiene con riferimento ai propri clienti) ai fini dell’asta e per i servizi ad essa relativi, per servizi di finanziamento e assicurativi, finalità amministrative, di marketing, e per qualsiasi altra finalità necessaria per lo svolgimento della propria attività o per rispettare la legge. Ciò includerà informazioni quali il nome e cognome del cliente e i suoi dati di contatto, carta di identità, informazioni finanziarie, l’elenco delle operazioni eseguite dal cliente e le sue preferenze. Alcune attività di raccolta delle informazioni dei clienti di Sotheby’s verrà svolta utilizzando strumenti tecnologici al fine di identificare le preferenze dei clienti e fornire a questi ultimi servizi migliori. Sotheby’s potrà inoltre rivelare le informazioni dei propri clienti a Società del Gruppo Sotheby’s e/o terze parti che agiscono per loro conto al fine di fornire servizi per le finalità sopra indicate.

Nell’ambito delle sopra descritte comunicazioni, dati personali trattati nell’Unione europea potrebbero essere trasferiti in Paesi fuori dall’Unione europea. Sebbene questi Paesi possano non avere una legislazione che tutela i dati personali del cliente, Sotheby’s avrà cura di tutelare queste informazioni nel rispetto della normativa europea a protezione dei dati personali. Accettando le presenti Condizioni Generali di Vendita (Online Only), il cliente acconsente a queste comunicazioni.

In base alla legge europea sulla protezione dei dati personali, un cliente può opporsi, su richiesta e a titolo gratuito, al trattamento dei propri dati personali per determinate finalità, inclusa la finalità di marketing, e può accedere e modificare i dati personali a tal fine conferiti e ottenere ulteriori informazioni in merito alla modalità di trattamento dei dati personali svolta da Sotheby’s scrivendo a Sotheby’s, 34-35 New Bond Street, London W1A 2AA, oppure 1334 York Avenue, New York, NY 10021, alla c.a.: Compliance, oppure inviando una email a enquiries@sothebys.com.

15. Legge applicabile e Foro competente

Legge applicabile Le presenti Condizioni Generali di Vendita (Online Only) e qualsiasi fattispecie, transazione o lite ad esse relative (inclusa qualsiasi offerta online a cui queste Condizioni si applichino) sono soggette e interpretate in base al diritto italiano.

Foro competente Nell’interesse di Sotheby’s, tutti gli Offerenti e i Venditori accettano che qualsiasi controversia e transazione derivante dalle presenti Condizioni Generali di Vendita (Online Only) sia rimessa alla competenza esclusiva del Tribunale di Milano. Tutte le parti accettano che Sotheby’s possa riservarsi il diritto di intraprendere un’azione legale presso qualsiasi altro Tribunale diverso dal Tribunale di Milano. Qualora l’Acquirente sia un Consumatore ai sensi del Codice del Consumo, qualsiasi controversia in relazione all’applicazione, esecuzione e interpretazione delle presenti Condizioni Generali di Vendita (Online Only), sarà devoluta alla competenza inderogabile del tribunale del luogo in cui l’Acquirente ha residenza o domicilio.

Il Consumatore che risiede in uno stato membro dell’Unione europea diverso dall’Italia, può, inoltre, accedere, per ogni controversia al procedimento europeo, istituito per le controversie di modesta entità dal Regolamento (CE) n. 861/2007 del Consiglio dell’11 luglio 2007, a condizione che il valore della controversia non ecceda, esclusi gli interessi, i diritti e le spese, euro 2.000,00.

Ai sensi dell'art. 141-sexies, comma III, del Codice del Consumo, Sotheby’s informa l’Offerente che rivesta la qualifica di consumatore di cui al Codice del Consumo che, nel caso in cui egli abbia presentato un reclamo direttamente a Sotheby’s, a seguito del quale non sia stato tuttavia possibile risolvere la controversia così insorta, Sotheby’s fornirà le informazioni in merito all'organismo o agli organismi di Alternative Dispute Resolution per la risoluzione extragiudiziale delle controversie relative ad obbligazioni derivanti da un contratto concluso in base alle presenti Condizioni Generali di Vendita (Online Only) (cc.dd. organismi ADR, come indicati agli artt. 141-bis e ss. Codice del Consumo), precisando se intenda avvalersi o meno di tali organismi per risolvere la controversia stessa.

Inoltre, Sotheby’s informa l’Offerente che rivesta la qualifica di consumatore di cui al Codice del Consumo che è stata istituita una piattaforma europea per la risoluzione on-line delle controversie dei consumatori (c.d. piattaforma ODR). La piattaforma ODR è consultabile al seguente indirizzo http://ec.europa.eu/consumers/odr/; attraverso la piattaforma ODR il consumatore potrà consultare l'elenco degli organismi ADR, trovare il link al sito di ciascuno di essi e avviare una procedura di risoluzione on-line della controversia in cui sia coinvolto.

Sono fatti salvi in ogni caso il diritto dell’Offerente che rivesta la qualifica di consumatore di adire il giudice ordinario competente della controversia derivante dalle presenti Condizioni Generali di Vendita (Online Only), qualunque sia l'esito della procedura di composizione extragiudiziale delle controversie relative ai rapporti di consumo mediante ricorso alle procedure di cui alla Parte V, Titolo II-bis Codice del Consumo.

Comunicazioni: gli Offerenti e i Venditori esprimono il loro irrevocabile consenso ad effettuare qualsiasi comunicazione e notifica - relativa a qualsiasi documento in riferimento a procedimenti intrapresi - procedendo a mezzo fax, consegna a mani, spedizione a mezzo posta o secondo qualsiasi altra modalità prevista dalla legge italiana, dalla legge in vigore nel luogo di destinazione della notifica o dalla giurisdizione del luogo in cui il procedimento si svolge; la comunicazione e notifica deve avvenire all’ultimo indirizzo dell’Offerente o del Venditore noto a Sotheby’s o a qualsiasi altro indirizzo solitamente utilizzato.

GARANZIA DI AUTENTICITA’ DI SOTHEBY’S RELATIVA A QUALSIASI LOTTO

Qualora Sotheby’s venda un Lotto che successivamente è dichiarato essere una “contraffazione” alle condizioni indicate di seguito, Sotheby’s annullerà la vendita e rimborserà all’Acquirente l’importo totale pagato da quest’ultimo a Sotheby’s per il Lotto, nella valuta della vendita.

A tali effetti, “contraffazione” significa un Lotto che in base alla ragionevole opinione di Sotheby’s è una imitazione creata allo scopo di ingannare su autore, origine, datazione, epoca, periodo, cultura o fonte, qualora la corretta descrizione di queste caratteristiche non è riportata nella descrizione del catalogo (tenendo in considerazione il Glossario). Nessun Lotto potrà ritenersi una contraffazione solo in base a danni e/o restauri e/o modificazioni di qualsiasi tipo (inclusa la ripittura e la pittura sopra l’ultimo strato).

Si prega di notare che la presente Garanzia non si applica se:

(i) la descrizione del catalogo rifletteva l’opinione generale condivisa di studiosi ed esperti alla data della vendita, o la descrizione del catalogo ha indicato che vi era un conflitto tra queste opinioni, o

(ii) se l’unico modo di stabilire al momento della vendita che il Lotto costituisse una contraffazione fosse rappresentato da una metodologia non generalmente disponibile o accettabile, irragionevolmente costosa o impraticabile; o da una metodologia che probabilmente avrebbe danneggiato il Lotto o che probabilmente (in base alla ragionevole opinione di Sotheby’s) avrebbe causato la perdita di valore del Lotto; o

(iii) non vi è stata una sostanziale perdita di valore del Lotto rispetto alla sua descrizione.

La presente Garanzia è valida per cinque (5) anni successivamente alla data di chiusura del relativo Lotto, vale esclusivamente a beneficio dell’Acquirente e non può essere trasferita a terze parti. Per avvalersi della presente Garanzia, l’Acquirente deve:

(i) informare per iscritto Sotheby’s entro tre (3) mesi dal reperimento di qualsiasi informazione che possa far dubitare l’Acquirente della autenticità o attribuzione del Lotto, specificando il numero di Lotto, la data dell’asta alla quale è stato comprato e le ragioni per le quali ritenga che sia una contraffazione; e

(ii) restituire il Lotto a Sotheby’s alle stesse condizioni sussistenti alla data della vendita all’Acquirente, libero da diritti o pretese di terzi sorti successivamente alla data della vendita.

E’ facoltà di Sotheby’s rinunciare a qualsiasi delle sopra descritte condizioni. Sotheby’s potrebbe richiedere all’Acquirente di ottenere a spese di quest’ultimo la relazione di due esperti indipendenti e di riconosciuta competenza, reciprocamente accettabili da Sotheby's e dall’Acquirente. Sotheby's

non è vincolata da relazioni prodotte dall’Acquirente e si riserva il diritto di ottenere ulteriori perizie a proprie spese. Nell’ipotesi in cui Sotheby’s decida di risolvere la vendita in base alla presente Garanzia, Sotheby’s potrà rifondere l’Acquirente dei costi ragionevolmente sostenuti con riferimento alle relazioni dei due esperti indipendenti approvati dall’Acquirente e da Sotheby’s.

GARANZIA DI AUTENTICITA’ DI SOTHEBY’S PER I GIOIELLI

Qualora Sotheby’s venda gemme o perle che l’Acquirente successivamente dimostri, in base alla ragionevole valutazione di Sotheby’s, non essere genuine o di origine naturale, alle condizioni di seguito indicate, Sotheby’s risolverà la vendita e rimborserà all’Acquirente l’importo totale da quest’ultimo pagato a Sotheby’s per tali gemme o perle, nella valuta della vendita originaria.

Questa Garanzia è efficace per un periodo di ventuno (21) giorni decorrenti dal giorno successivo a quello di chiusura della relativa Asta Online Only, è esclusivamente a beneficio dell’Acquirente e non può essere ceduta a terzi. Per godere della presente Garanzia, l’Acquirente deve:

(i) comunicare per iscritto a Sotheby’s entro il periodo di 21 giorni di cui sopra i motivi per i quali ritiene che le gemme o le perle non siano genuine o di origine naturale, specificando il numero del lotto, la data dell’Asta Online Only alla quale è stata acquistata; e

(ii) riconsegnare il bene a Sotheby’s nella stessa condizione in cui si trovava alla data della vendita all’Acquirente, libero da rivendicazioni o da ogni pretesa da parte di terzi sorta dopo la data della vendita.

GARANZIA DI AUTENTICITA’ DI SOTHEBY’S PER I LIBRI

Qualora Sotheby’s venda un bene che risulti successivamente essere una “contraffazione” o che, secondo l’opinione di Sotheby’s, sia sostanzialmente difettoso nel testo o nelle illustrazioni, alle condizioni di seguito indicate Sotheby’s risolverà la vendita e rimborserà all’Acquirente l’importo totale pagato da quest’ultimo a Sotheby’s per il bene, nella valuta della vendita originaria.

Siete pregati di notare che la presente Garanzia non si applica qualora:

(i) la descrizione nel catalogo online era conforme al parere generalmente accettato di studiosi ed esperti alla data della vendita o ha indicato questi pareri come controversi; o

(ii) alla data della vendita la contraffazione del lotto potesse essere accertata soltanto svolgendo analisi non generalmente disponibili o accettate, il cui costo fosse irragionevole o difficilmente praticabili; o che avrebbero probabilmente potuto danneggiare o altrimenti (in base alla ragionevole opinione di Sotheby’s) comportare una diminuzione di valore del lotto; o

(iii) il bene comprenda un atlante, un libro extra-illustrato, un volume con tagli illustrati, una pubblicazione periodica, una stampa o un disegno; o

(iv) nel caso di un manoscritto, il lotto non sia descritto nel catalogo come completo; o(v) il difetto sia indicato nella descrizione del catalogo online o il bene è stato venduto come libro di autore anonimo; o

(vi) il difetto non riguardi il testo o le illustrazioni. A mero titolo di esempio, non potrà essere restituito un lotto che presenti danni alla rilegatura, macchie, bruniture, tarlature ai margini, mancanza di fogli bianchi o altre condizioni che non pregiudichino la completezza del testo o delle illustrazioni, mancanza di un elenco delle tavole, di inserzioni pubblicitarie, di cancellazioni o di ogni volume successivamente pubblicato, supplemento, appendice o tavole o errore nell’elenco delle tavole, o

(vii) non si è verificata una sostanziale perdita di valore del bene rispetto al valore risultante dalla sua descrizione.

La presente Garanzia è efficace per un periodo di cinque (5) anni (con riferimento a beni contraffatti) o ventuno (21) giorni (per beni sostanzialmente difettosi nel testo o nella illustrazione), decorrenti dal giorno successivo a quello di chiusura della relativa Asta Online Only, è esclusivamente a beneficio dell’Acquirente e non può essere ceduta a terzi. Per godere della presente Garanzia, l’Acquirente deve:

(i) comunicare per iscritto a Sotheby’s entro tre (3) mesi (per i beni contraffatti) o 21 giorni (21) giorni (per i beni sostanzialmente difettosi nel testo o nella illustrazione) i motivi per i quali ritiene che i beni siano una contraffazione o siano sostanzialmente difettosi nel testo o nella illustrazione, specificando il numero del lotto, la data di chiusura dell’Asta Online Only nella quale il bene è stato acquistato; e

La seguente terminologia costituisce una esemplificazione di quella utilizzata nel presente catalogo online. Ogni asserzione riguardante autore, attribuzione, origine, data, età, provenienza e condizioni dei Lotti in catalogo, è da ritenersi un’opinione e non un dato di fatto. Lei è invitato a leggere attentamente i termini delle Condizioni Generali di Vendita (Online Only) e la Garanzia di Autenticità di cui sopra, in particolare le Clausole 3 e 4 delle Condizioni Generali di Vendita (Online Only).

The following guidance is intended to give you useful information on how to buy in an Online Only Auction. We recommend that you read the guidance below carefully in order to familiarize yourself with the way that the Online Only Platform works before you start to participate in an Online Only Auction. It is also important that you read the Conditions of Business for Buyers (Online Only) which are set out below and note that Sotheby’s acts for the seller; you should refer in particular to Conditions 3 and 4 of the Conditions of Business for Buyers (Online Only). Terms defined in this Guide shall have the same meaning as in the Conditions of Business for Buyers (Online Only) unless the context otherwise requires.

Please note that the Sellers in the online sale titled ‘Hermès Handbags & Accessories Online’ are Online Consumers for the purposes of the Consumer Contracts Regulations and therefore the right to cancel the purchase of the Lots included in this sale (pursuant to Condition 11 of the Conditions of Business for Buyers (Online Only) shall not apply.

1. REGISTER A VERIFIED ACCOUNT WITH SOTHEBY'S

In order to be eligible to participate in an Online Only Auction, you must have registered, and maintain, a Verified Account. Pre-sale estimates

As indicated in the Conditions of Business for Buyers (Online Only), the Online Sale Information for each Lot includes pre-sale estimates which are provided by Sotheby's as a guide for prospective Bidders to assist them with determining the appropriate amount to bid for a Lot. In our opinion, any bid for an amount which is between the high pre-sale estimate and the low pre-sale estimate stated in the Online Sale Information for the Lot would offer a chance of success. Having said that, it is important you appreciate that Lots can realize prices which are above or below the pre-sale estimates. It is advisable to check the pre-sale estimates prior to submission of a bid. Condition of Lots

The Online Sale Information includes the online catalogue description of the Lot; any online condition report provided in relation to the Lot by Sotheby's solely as a convenience (and the online images of the Lot shall be deemed to form part of any such condition report); and any other information relating to the Lot or the conduct of the Online Only Auction which is published on the Online Only Platform (including this Guide to Buying in an Online Only Auction).

All Lots are offered for sale in the condition which they are in at the time of sale in an Online Only Auction. Any reference to condition in the Online Sale Information will not amount to a full description of the condition and the absence of any reference to the condition of a Lot in the online catalogue description does not imply that the Lot is free from faults or imperfections. It is important that you appreciate that you will not have an opportunity to inspect the condition of a Lot prior to submitting a bid in respect of such Lot. Please refer to Condition 3 of the Conditions of Business for Buyers (Online Only) for further information regarding the basis upon which your bid for a Lot is submitted.

Treatment and Condition of Gemstones

Traditionally, gemstones have been treated by a variety of techniques to enhance color and generally to improve their appearance. Typically, rubies and sapphires have been heat treated and emeralds have been treated by oil or resin to improve color and clarity. These or other techniques, such as dyeing, irradiation, coating and impregnation, may be used on other gemstones. Although it is widely believed that heat treatments are permanent, purchasers should assume that any treatment may not be permanent and that over time special care of the stone may be required. Prospective buyers are reminded that, unless the catalogue description specifically states that a stone is natural, we have assumed that some form of treatment may have been used and that such treatment may not be permanent. Our presale estimates reflect this assumption.

To the extent that Sotheby’s has laboratory reports containing specific information on the treatment of a stone, these reports are made available for review by prospective buyers. Available reports from internationally recognized gemological laboratories will be noted in the description of the item. New forms of treatments and new scientific methods to discern them are constantly being developed. Consequently, there may be a lack of consensus among laboratories as to whether gemstones have been treated, the extent of the treatment or the permanence of the treatment. References in the e-catalogue descriptions to certificates or reports issued by gemological laboratories are provided only for the information of Bidders, and Sotheby’s does not guarantee and accepts no responsibility for the accuracy, terms or information contained in such certificates or reports. Please also note that laboratories may differ in their assessment of a gemstone (including its origin and presence, type and extent of treatments) and their certificates or reports may contain different results.

Provenance

In certain circumstances, Sotheby's may publish in the online catalogue description for a Lot the history of ownership of a work of art if such information contributes to scholarship or is otherwise well known and assists in distinguishing the work of art. However, the identity of the seller or previous owners may not be disclosed for a variety of reasons. For example, such information may be excluded to accommodate a seller's request for confidentiality or because the identity of prior owners is unknown given the age of the work of art.

Bidding practices

In situations where a person who is allowed to bid on a Lot has a direct or indirect interest in such Lot, such as the beneficiary or executor of an estate selling the Lot, a joint owner of the Lot, or a party providing or participating in a guarantee of the Lot, Sotheby’s will notify you by email and publish a notification in the Online Sale Information that interested parties may bid on the Lot. In certain instances, interested parties may have knowledge of the reserves.

Sotheby’s employees may bid only if the employee does not know the reserve and fully complies with Sotheby’s internal rules governing employee bidding.

Information regarding shipping and delivery

The Online Sale Information includes a shipping costs calculator which has been developed to enable you to estimate the amount it will cost you to have the Lot shipped to your delivery address (inclusive of VAT, associated packing and transit insurance costs) in the event that you are the successful Bidder so that you are able to account for this cost in your assessment of the appropriate amount to bid for a Lot. Please note that the shipping cost which is generated by the shipping costs calculator may differ to the actual amount of the Buyer's Shipping Costs.

Sotheby's is always happy to discuss any Lot in which you are interested. Further information requests can be submitted via the 'Request Info' button which appears at Lot level on the Online Only Platform.

3. SUBMISSION OF A BID FOR A LOT IN AN ONLINE ONLY AUCTION

An Online Only Auction can be fast moving. Competitive bidding can often escalate very quickly. Once you have set up a Verified Account, you will be able to submit a bid for a Lot by entering your maximum bid and clicking the ‘Leave Bid’ button which appears at Lot level on the Online Only Platform. If you haven’t already registered as a Verified Accountholder, you will be prompted to do so at that point. You will then be asked to review and confirm your maximum bid. As soon as the ‘Leave Bid’ button (which appears at Lot level on the Online Only Platform) is clicked, your bid is submitted. You accept and agree that a bid which is submitted using the ‘Leave Bid’ button.

Bids can be submitted through the Online Only Platform from the start of the Online Only Auction until the Lot closes. Enter your maximum bid (being the highest price you are willing to pay on the Lot). The Online Only Platform will then place incremental bids on your behalf up to your maximum bid for as long as you are the highest bidder. Sotheby’s uses pre-determined bidding increments. Please refer to the bidding increments link which appears at Lot level on the Online Only Platform. In cases where two equivalent maximum bids are submitted, the first bid received will take priority.

4. MONITOR YOUR BIDS

If you are outbid at any time you will receive an email notification informing you accordingly and the email notification will provide a link to follow to increase your bid. We encourage you to monitor the bids on Lots throughout the duration of the Online Only Auction to ensure your status as the highest bidder up until the close of the Online Only Auction.

5. CLOSING THE ONLINE ONLY AUCTION

An end time is displayed for each Lot at Lot level on the Online Only Platform. Lots will close at the time stated at Lot level on the Online Only Platform unless a bid is placed within 1 minute of a Lot's scheduled end time. If this occurs, Sotheby’s will extend the sale of that Lot by 5 minutes from the time of the last bid. The extension of any Lot's closing time does not affect the closing time of the following Lots. This may result in Lots closing out of numerical order.

6. HOW TO PAY FOR YOUR LOT

If you are a successful Buyer of a Lot, Sotheby's will email you the Buyer's Invoice for the total amount due by you (together with payment instructions) as soon as reasonably practicable after the final Lot in the relevant Online Only Auction closes. Payment from the invoiced party is due in full by the payment date stated in the Buyer’s Invoice. Please note that we reserve the right to decline payments received from anyone other than the buyer of record and that clearance of such payments will be required. Please contact Sotheby’s if you have any questions concerning clearance.

The Bidder acknowledges that the sale contract between the Buyer and the Seller is made when the Online Only Auction of the Lot is closed and the bid of the relevant bidder proved to be the highest and successful bid.

A Buyer’s Premium is payable by the successful Bidder on a Lot in an Online Only Auction. The Buyer’s Premium is added to the Hammer Price and is included as part of the total Purchase Price payable by the successful Bidder. In an Online Only Auction conducted by Sotheby’s in Italy, the Buyer’s Premium rate is as follows: 30.5% of the Hammer Price up to and including €180,000, 24.4% of any amount in excess of €180,000 up to and including €2,000,000 and 15.74% of any amount in excess of €2,000,000. All of the rates quoted above are inclusive of VAT or an amount in lieu of VAT.

Subject to the limitations and requirements in the Conditions of Business for Buyers (Online Only), Sotheby's accepts the following forms of payment: Euros wire transfer, Euros cheque, Euros cash (in person at Sotheby’s Italia S.r.l.’s premises only), debit card. Please refer to Condition 8 of the Conditions of Business for Buyers (Online Only) for further details regarding payment of a purchased Lot.

Soon after the closure of the sale of the Lot, the Buyer will receive the Buyer’s Invoice from Sotheby’s. The Buyer will be asked to confirm his/her shipping address and if he/she is interested in having a shipping quote by a shipping company indicated by Sotheby’s. If so, the shipping company will provide the Buyer with a shipping agreement and a shipping quote. In the event that you are eligible for a VAT rebate based on your confirmed delivery address, Sotheby’s may reissue the Buyer’s Invoice.

Provided that the Buyer’s Invoice has been settled in full by the payment date stated in the Buyer's Invoice and the Buyer has paid the Buyer’s Shipping Costs (in the event that the Buyer has chosen the shipping company indicated by Sotheby’s) , any financial release of the property has been completed and any requisite export license or certificates has been provided to Sotheby's, Sotheby's will either deliver the purchased property to the Buyer or to the shipping company in order to deliver the Lot no later than thirty (30) days from the closing date of the relevant Online Only Auction.

If you are a successful Buyer of a Lot, you will also be required to pay where applicable: Sales and/or Value Added Tax (VAT), import tax, customs duty, and any local clearance fees applicable for your country e.g. Artist’s Resale Right, Buyer's Shipping Costs (which may include the transit insurance fee). Please refer to the Conditions of Business for Buyers (Online Only) for more information.

Please note the following information regarding Sotheby's accepted payment policies:

• Sotheby’s shall not accept single or multiple related payments in the form of cash or cash equivalents in excess of the local currency equivalent of Euros 3,000.00.

• Sotheby’s requests any new clients or new buyers preferring to make Euros cash payment to provide: proof of identity (by providing some form of government issued identification containing a photograph, such as a passport, identity card or driver’s license) and confirmation of permanent address. Thank you for your co-operation.

• Cheques: should be made payable to Sotheby’s Italia S.r.l.. Although personal and company cheques drawn in Euros on Italian banks are accepted, you are advised that property will not be released until such cheques have cleared.

• Bank transfers: our bank account details are shown on our invoices. Please include your name, Sotheby’s account number and invoice number with your instructions to your bank.

7. FURTHER INFORMATION REGARDING SHIPPING, EXPORT OF PROPERTY AND RELATED MATTERS

All shipments should be unpacked and checked on delivery and any discrepancies notified immediately to the shipping company.

Export of cultural goods from Italy is subject to Law no. 42 of 22nd January 2004 (“Cultural Property Code”) and following amendments. Export of cultural goods out of the European Community is regulated by the ECC Regulation no. 3911/92, subsequently amended by ECC Regulation no. 2469/96, and ECC Regulation no. 974/01.

It is the Buyer’s responsibility to obtain any relevant export or import certificate. The denial of any license required or delay in obtaining such license cannot justify the cancellation of the sale or any delay in making payment of the total amount due.

The shipping company indicated by Sotheby’s pursuant to Condition 10, upon request and for an administrative fee, may apply for a license to export your Lot(s) outside Italy.

Sotheby’s recommends that you retain all import and export papers, including licenses, as in certain countries you may be required to produce them to governmental authorities.

Please note that the shipping company indicated by Sotheby’s pursuant to Condition 10 is unable to arrange delivery to those locations which are specified as excluded zones in the shipping costs calculator which is available on the Online Only Platform (each an “Unavailable Destination”). In the event that you request delivery of a Lot to an Unavailable Destination, Sotheby’s reserves the right to require you to collect the Lot from the Sotheby’s storage facility at via Alassio 10, Milano or to arrange delivery of the Lot by a third party carrier.

Endangered Species: Items made of or incorporating plant or animal material, such as coral, crocodile, ivory, whalebone, tortoiseshell, etc., irrespective of age or value, may require a license or certificate prior to exportation and require additional licenses or certificates upon importation to any country outside the EU. Please note that the ability to obtain an export license or certificate does not ensure the ability to obtain an import license or certificate in another country, and vice versa. For example, it is illegal to import African elephant ivory into the United States and there are other restrictions on the importation of ivory into the US under certain US regulations which are designed to protect wildlife conservation.

Sotheby’s suggests that buyers check with their own government regarding wildlife import requirements prior to placing a bid. It is the buyer’s responsibility to obtain any export or import licenses and/or certificates as well as any other required documentation (please refer to Condition 10 of the Conditions of Business for Buyers (Online Only). Please note that Sotheby’s is not able to assist buyers with the shipment of any Lots containing ivory and/or other restricted materials into the US. A buyer’s inability to export or import these Lots cannot justify a delay in payment or a sale’s cancellation.

US Economic Sanctions: The United States maintains economic and trade sanctions against targeted foreign countries, groups and organizations. There may be restrictions on the import into the United States of certain items originating in sanctioned countries, including Burma, Cuba, Iran, North Korea and Sudan. The purchaser’s inability to import any item into the US or any other country as a result of these or other restrictions shall not justify cancellation or rescission of the sale or any delay in payment. Please check with the specialist department if you are uncertain as to whether a Lot is subject to these import restrictions, or any other restrictions on importation or exportation.

VAT AND OTHER TAX INFORMATION FOR BUYERS

It should be noted that, for VAT purposes only, Sotheby’s is not treated as an agent. Pursuant to Directive 2006/112/EC of 28 November 2006, most property is sold as if it is property of Sotheby’s. As a successful Bidder for a Lot in an Online Only Auction, you will be charged any applicable sales tax; in some cases you could be charged VAT or any other applicable sales taxes, which shall be duly identified in the Buyer's Invoice. The following paragraphs are intended to give general guidance to buyers on VAT and certain other potential tax implications of purchasing property at Sotheby’s. The information concerns the most usual circumstances and is not intended to be complete. With reference to the amount due and the possibility of reimbursing VAT, the relevant tax legislation in effect on the date of the sale of a Lot in the Online Only Auction takes precedence. For Lots sold subject to Temporary Admission the applicable rate will be that in force at the closing date of the relevant Online Only Auction.

In the following paragraphs, reference to VAT symbols shall mean those symbols located beside the Lot number or the pre-sale estimates in the catalogue (or amending sale notice.)

1. PROPERTY WITH NO VAT SYMBOL

Where there is no VAT symbol, Sotheby’s is able to use the Auctioneer’s Margin Scheme and VAT will not normally be charged on the Hammer Price. Sotheby’s must bear VAT on the Buyer’s Premium and hence will charge VAT at the standard rate on this premium. This amount will form part of the Buyer’s Premium on our invoice and will not be separately identified. A limited range of goods, including most books, are not liable to VAT and therefore no VAT will be added to the Buyer’s Premium on the sale of such goods. VAT will also be charged on duties (if applicable).

Please see section 3 below (‘Intra-Community Supply and Exports’) for the conditions to be fulfilled before VAT on the Buyer’s Premium may be cancelled or refunded.

VAT-registered buyers from within the European Union (EU) should note that VAT contained within the Buyer’s Premium cannot be cancelled or refunded by Sotheby’s or the Italian tax office “AGENZIA DELLE ENTRATE”.

2. PROPERTY WITH A ‘ALPHA’ SYMBOL

Items sold to Buyers whose address is in the EU will be assumed to be remaining in the EU. The property will be invoiced as if it had no VAT symbol (see ‘Property with no VAT symbol’ at section 1 above.)

Items sold to Buyers whose address is outside the EU will be assumed to be exported from the EU. The property will be invoiced under the normal VAT rules. Although the Hammer Price will be subject to VAT this will be refunded upon export - see ‘Intra-Community Supply and Exports’.

3. INTRA-COMMUNITY SUPPLY AND EXPORTS

VAT, if applicable, may be cancelled or refunded provided Sotheby’s receive the appropriate export documents.

Property with no VAT symbol (see paragraph 1): Sotheby’s is able to use the Auctioneer’s Margin Scheme and VAT will not normally be charged on the Hammer Price. The VAT will be charged only on duties (if applicable). The amount in lieu of VAT charged on the Hammer Price and the Buyer’s Premium , if any, may be refunded provided the Buyer resides outside Italy and the property is exported from the EU within 90 days of the sale. Sotheby’s must be provided with the appropriate proof of export of the goods within 90 days of the sale. It is deemed to be a proof of export the copy of the DAE electronic declaration together with the MRN and the notice of the MRN export, which is available on the customs’ web site.

4. VAT REFUNDS FROM AGENZIA ENTRATE

According to Article 38 quarter D.P.R. 633/72, where VAT charged cannot be cancelled or refunded by Sotheby’s, it may be possible to seek repayment from the Italian tax office “AGENZIA DELLE ENTRATE”.

5. SALES AND USES TAXES

Buyers from outside Italy should note that local sales taxes or use taxes may become payable upon import of items following purchase (for example, the Use Tax payable on import of purchased items to certain states of the USA). Buyers should obtain their own advice in this regard.

Where the Buyer has provided Sotheby’s with a valid Resale Exemption Certificate prior to the release of the property, sales and use tax will not be charged. Clients to whom this tax might apply are advised to contact Sotheby's on the following telephone number: +39 02.295001 (Phone service available Monday to Friday, 10:00 am – 1:00 pm / 2:00 pm – 6:00 pm).

6. SHIPPING COST CALCULATOR

Please note that all lots in this sale will ship from Milan, Italy. Please note that the export of all lots is subject to licences granted by the relevant authorities.

To assist you in understanding the potential cost of shipping to your address, we have provided a simple shipping cost calculator, which can be accessed from each lot page. To use the calculator you will need three pieces of information: the Lot Number; the country to which the item will be shipped; and your anticipated bid (the hammer price). Please bring a copy of your paid invoice and photographic ID with you when you collect. If the shipper or a third party is going to collect the lot on your behalf, please send your valid photographic ID in advance to Post sale at : Alessandra.Berengan@Sothebys.com.

Items not collected will incur storage charges in accordance with our Terms and Conditions for Buyers.

Ferrari SpA, an Italian Shipper company, will ensure that your purchases are packed professionally and then shipped to you safely, securely and insured, via the global Federal Express network or via another fine art shipping method. The final hammer price (plus any applicable VAT and/or Artist Resale Rights) influences the exact cost of shipping, as the cost of insurance and packing are directly related to the value of the shipment. All purchases from this sale are shipped using a priority service as a requirement of the insurance cover provided, when FedEx is involved in the shipment. Consequently you may use the calculator to establish in advance of bidding the likely range of shipping prices that you would incur if you are the successful bidder for a particular lot - for example you may wish to input your maximum bid in order to understand the maximum shipping price for the item, but you may also wish to input the bid at which you hope to secure the lot. The Shipping Calculator can be accessed from the top of the main sale page.

Soon after the closure of the sale, you will receive your invoice from Sotheby’s Post Sale Services. You will be asked to confirm if you are interested in receiving a shipping quote and your shipping address. If so, Sotheby’s will forward your request to the shipper, Ferrari SpA. The shipper will provide you with a shipping quote, which will show the costs of shipping and insurance itemised separately, and will include details of the key insurance terms. You will need to confirm your acceptance of the quote and make payment to the shippers, following which your items will be despatched.

We are unable to offer shipping via this method to every destination. If your destination country is not listed in the drop-down menu on our shipping calculator, please contact Sotheby’s (contact information is on the calculator page) and provide details of the lot number, the address to which you wish to ship together with your maximum bid. In most cases, we will be able to offer a shipping solution and we will provide you with a pre-sale quote based on the actual shipment value; any difference in the final sale price will affect the final shipping price that will be charged. As we will need to liaise with one or more shipping vendors, depending on the destination, requests for such pre-sale quotes need to be submitted no later than 72 hours prior to the scheduled sale-end. Finally, some items cannot be shipped to certain destinations at all (for example items of Iranian origin to the GCC States) and, whilst the shipping calculator may provide a price for the shipment, the notes field will populate with an explanation of the restriction that applies. The inability to ship to a destination so excluded will not justify the cancellation of a sale, and you should refer to the full terms and conditions for buyers (online sales).

SOTHEBY’S ITALIA’S CONDITIONS OF BUSINESS FOR BUYERS (ONLINE ONLY)

These Conditions of Business for Buyers (Online Only) set out the terms upon which Sotheby’s and the Seller offer the Lots for sale to Bidders.

You should read these Conditions of Business for Buyers (Online Only) and the Online Sale Information (including, but not limited to, the Guide to Buying in an Online Only Auction set out above) carefully before placing a bid for any Lot. In particular, Bidders’ attention is specifically drawn to Condition 4 below, which contains specific limitations and exclusions of the legal liability of Sotheby’s and Sellers.

By bidding for a Lot in an Online Only Auction on the Online Only Platform, you agree that these Conditions of Business for Buyers (Online Only) and the Online Sale Information shall be contractually binding on you. In the event that you are the successful Bidder for a Lot in an Online Only Auction, you agree that these Conditions of Business for Buyers (Online Only) and the applicable Online Sale Information will constitute the contract which governs the relationship between Sotheby’s, Sellers and Bidders.

1. Introduction

(a) Sotheby’s and Sellers’ contractual relationship with prospective Buyers is governed by:

(i) these Conditions of Business for Buyers (Online Only);

(ii) the Conditions of Business for Sellers (Online Only) a copy of which can be provided to you on request;

(iii) the Online Sale Information (including, but not limited to, the Guide to Buying in an Online Only Auction set out above); and

(iv) Sotheby’s Authenticity Guarantee, as applicable to the Lot (set out below).

(b) The Online Sale Information will identify the owner of the Lot immediately prior to the start of the Online Only Auction as either (i) a third party (in which case, Sotheby’s acts as agent for the Seller) or (ii) Sotheby’s (in which case, Sotheby’s acts in principal capacity as Seller). In the case of (i), Sotheby’s provides services to the Seller including, but not limited to, concluding the sale contract which exists directly between the Seller and the Buyer (with Sotheby’s acting as agent of the Seller). In the case of (ii), Sotheby’s owns the Lot in whole or in part and/or may have a legal, beneficial or financial interest in the Lot as a secured creditor or otherwise.

(c) The Online Sale Information will also identify if the Seller is an Online Consumer (and therefore, by inference, not an Online Trader) for the purposes of the Italian Consumer Code. This is important because the Italian Consumer Code provides that if the Seller is an Online Trader and the Buyer is an Online Consumer, the Buyer shall have the right to cancel the purchase of a Lot (in accordance with the procedure set out at Condition 11 of these Condition of Business for Buyers (Online Only)). In circumstances where the Seller is an Online Consumer, the right to cancel the purchase of a Lot does not apply.

2. Common Terms

In these Conditions of Business for Buyers (Online Only):

"Additional Buyer's Expenses" are any costs or expenses due to Sotheby's from the Buyer which are payable in respect of the sale of the Property, including an amount in respect of any applicable VAT thereon;

“ARR” is the right for authors of works of art and manuscripts and their beneficiaries to receive a royalty from the proceeds of each subsequent sale of the work following the original sale. ARR is payable only if the sale price exceeds Euros 3,000.00 and is calculated as follows:

"Bidder" is any person considering, making or attempting to make a bid in an Online Only Auction and includes Buyers (also referred to as “you” in these Conditions of Business for Buyers (Online Only));

"Buyer" is the person who makes the highest bid for a Lot in an Online Only Auction via the Online Only Platform (also referred to as “you” in these Conditions of Business for Buyers (Online Only));

“Buyer's Invoice” is the invoice for the Purchase Price of the purchased Lot;

“Buyer’s Premium” is the commission payable by the Buyer on the Hammer Price (at the rates set out in the Guide to Buying in an Online Only Auction set out above) plus any applicable VAT or an amount in lieu of VAT;

“Buyer’s Shipping Costs” are any packing, handling and shipping costs and charges (including any costs covering transit insurance and any costs for the export authorization of the Lot, if requested) payable by the Buyer to the shipping company indicated by Sotheby’s for provision of delivery services of the purchased Lot to the Buyer;

“Consumer Code” is the Legislative Decree No. 206 of 6 September 2005;

"Counterfeit" is as defined in Sotheby's Authenticity Guarantee (set out below);

“Cultural Property Code” is the Legislative Decree No. 42 of 22 January 2004;

“Due Date” is the term by which the Buyer shall pay the total amount due for the purchased Lot;

"Hammer Price" is the highest bid accepted from a Bidder for a Lot during an Online Only Auction;

“Lot” is an item to be offered for sale at an Online Only Auction on the Online Only Platform (and “Lots” shall be construed accordingly);

“Online Sale Cancellation Period” is the period of fourteen (14) days starting on the day after the Online Consumer (or a person, other than the carrier, identified by the Online Consumer) takes physical possession of the Lot;

“Online Services Cancellation Period” is the period of fourteen (14) days starting from the day of conclusion of the contract which relates to provision of the delivery services in favor of the Online Consumer;

“Online Consumer” is an individual located in the European Union who purchases a Lot and who is acting for purposes which are wholly or mainly outside that individual’s trade, business, craft or profession;

“Online Only Auction” is the sale of a Lot which is conducted solely by means of the Online Only Platform;

“Online Only Platform” is the online only sale platform and associated technical services which is accessible solely by online means and which enables Buyers to bid for and buy Lots in a time based auction;

“Online Sale Information” is the Lot information including, but not limited to, any pre-sale estimates; any information regarding provenance; the online catalogue description of the Lot; any condition report provided by Sotheby’s in relation to the Lot (with any such condition report being deemed to include the online images of the Lot); any other information relating to the Lot or the conduct of the Online Only Auction published on the Online Only Platform (including, but not limited to, the Guide to Buying in an Online Only Auction set out above); any on-screen notices relating to the Online Only Auction;

“Online Trader” is a person who is the Seller of a Lot and is acting in the Online Only Auction for purposes relating to that person’s trade, business, craft or profession;

"Purchase Price" is the Hammer Price and applicable Buyer’s Premium including any applicable VAT and any applicable ARR;

"Reserve" is the confidential minimum price which the Seller has agreed to accept for a Lot below which the Lot cannot be sold;

"Seller" is the person offering a Lot for sale (including their agent (other than Sotheby's), executors or personal representatives);

"Sotheby's" Sotheby's Italia S.r.l., with registered office at Palazzo Serbelloni – Corso Venezia,16 (20121), Milan, with share capital of Euros 252,200.00;

"Sotheby's Company" means any company controlled by, under common control with, or controlling, Sotheby’s pursuant to Art. 2359, Paragraphs I, (1) e (2) Civil Code and Art. 93 of Legislative Decree No. 58 of 24 February 1998, any company controlled by a company controlling Sotheby’s and also Sotheby’s Diamonds S.A. and its subsidiaries;

"VAT" is Value Added Tax at the prevailing rate. Further information is contained in the Guide to Buying in an Online Only Auction set out above;

“Verified Account” refers to the category of Sotheby’s account which is required to enable the account holder to (i) register for a sale; and (ii) to bid in an auction (including, but not limited to, an Online Only Auction); and

“Verified Accountholder” means an individual or entity who/which maintains a Verified Account.

3. Duties of Bidders and of Sotheby’s in respect of items for sale

(a) Sotheby’s knowledge in relation to each Lot is partially dependent on information provided to it by the Seller, and Sotheby’s is not able to and does not carry out exhaustive due diligence on each Lot. Bidders acknowledge this fact and accept responsibility for carrying out investigations to satisfy themselves as to the Lots in which they may be interested.

(b) Bidders acknowledge that many Lots are of an age and type which means that they are not in perfect condition. All Lots are offered for sale in the condition they are in at the time of sale in the relevant Online Only Auction. Any reference to condition in the Online Sale Information will not amount to a full description of condition and the absence of any reference to the condition of a Lot in the online catalogue description does not imply that the Lot is free from faults or imperfections. Condition reports may be available to assist Bidders with assessing the condition of a Lot and are for guidance only. The online images of the Lot form part of the condition report provided by Sotheby’s. Certain online images of the Lot may not accurately reflect the actual condition of the Lot. In particular, the online images may represent colours and shades which are different to the Lot’s actual color and shades. The Online Sale Information and/or any condition report relating to the Lot may make reference to particular imperfections of the Lot but you should note that the Lot may have other faults not expressly referred to in the condition report for the Lot or shown in the online images of the Lot. The condition report may not refer to all faults, restoration, alteration or adaptation because Sotheby’s is not a professional conservator or restorer but rather the condition report is a statement of opinion genuinely held by Sotheby’s. For that reason, Sotheby’s condition report is not an alternative to taking your own professional advice regarding the condition of the Lot. Please note that all electrical and mechanical goods are sold on the basis of their artistic and decorative value only, and should not be assumed to be operative. It is essential that prior to any intended use, the electrical system for any Lot is checked and approved by a qualified electrician.

(c) The Online Sale Information provided to Bidders in respect of a Lot, and any other estimate, whether written or oral, or other report, commentary or valuation, is not a representation of fact but rather is a statement of opinion genuinely held by Sotheby’s. Any estimate may not be relied on as a prediction of the selling price or value of the Lot and may be revised from time to time in Sotheby's absolute discretion.

(d) No representations or warranties are made by Sotheby's or the Seller as to whether any Lot is subject to copyright or whether the Buyer acquires copyright in any Lot.

(e) Subject to the matters referred to at 3(a) to 3(d) above and to the specific exclusions contained at Condition 4 below, Sotheby’s shall exercise such reasonable care when making express statements in the Online Sale Information (including, but not limited to, the catalogue description and any condition report relating to the Lot) as is consistent with the standard of care which a Bidder would reasonably expect from an auction house of Sotheby’s standing taking into account the estimate of the relevant Lot and in the light of:

(i) the information provided to it by the Seller;

(ii) scholarship and technical knowledge; and

(iii) the generally accepted opinions of relevant experts, in each case at the time any such express statement is made.

4. Exclusions and limitations of liability to Buyers

(a) Sotheby’s shall refund the Purchase Price to the Buyer in circumstances where it deems that the Lot is a Counterfeit and each of the conditions of the applicable Authenticity Guarantee has been satisfied.

(b) In the light of the matters in Condition 3 above and subject to Conditions 4(a) and 4(e), neither any Sotheby's Company nor the Seller:

(i) is liable for any errors or omissions in information provided to Bidders by Sotheby’s (or any Sotheby's Company), whether orally or in writing, whether negligent or otherwise, except as set out in Condition 3(e) above;

(ii) gives any guarantee or warranty to Bidders and any implied warranties and conditions are excluded (save in so far as such obligations cannot be excluded by law) other than the express warranties given by the Seller to the Buyer in Condition 2 of the Conditions of Business for Sellers (Online Only);

(iii) accepts responsibility to any Bidders in respect of acts or omissions (whether negligent or otherwise) by Sotheby’s in connection with the conduct of the Online Only Auction and/or the operation of the Online Only Platform or for any matter relating to the sale of any Lot.

(c) Unless Sotheby’s owns a Lot offered for sale, it is not responsible for any breach of these conditions by the Seller.

(d) Without prejudice to Condition 4(b), any claim against Sotheby’s or the Seller by a Bidder is limited to the amount of Purchase Price with regard to that Lot. Neither Sotheby’s nor the Seller shall under any circumstances be liable for any indirect or consequential losses.

(e) Nothing in this Condition 4 shall exclude or limit Sotheby’s liability in respect of any fraudulent misrepresentation made by Sotheby’s or the Seller, or in respect of death or personal injury caused by the negligent acts or omissions of Sotheby’s or the Seller.

Notwithstanding Conditions 4(a)-(e) above, should the Seller be an Online Trader and the Buyer be an Online Consumer, the Buyer shall be entitled to exercise the legal guarantee with reference to the Lot, pursuant to Articles 128 et seq. of the Italian Consumer Code.

5. Registering to bid in an Online Only Auction

(a) In order to bid in an Online Only Auction, you must have set up a Verified Account (in accordance with the procedures set out at 5(b) and 5(c) below.)

(b) If you have not already bid online in a Sotheby’s sale, you will have to create a Verified Account in order to register for a particular Online Only Auction and to be eligible to bid in that particular Online Only Auction. The registration process requires that you submit your request to open a Verified Account prior to the closing of the first Lot in the relevant Online Only Auction in which you wish to bid (you will also be required to provide certain information to Sotheby’s as part of the application process). To create a Verified Account, please follow the registration instructions provided at:

(c) If you have already set up a Verified Account, you can sign into the applicable Online Only Auction using your existing username and password. Once you have registered for a particular Online Only Auction, you can submit bids using your existing Verified Account (if you have multiple accounts, you will need to select the account under which you wish to transact in a particular Online Only Auction). (d) By registering to bid in an Online Only Auction (whether in an individual capacity or on behalf of a company), you acknowledge and agree that by submitting a bid in an Online Only Auction (i) in your individual capacity, in which case you accept personal liability to pay the amounts identified at Condition 8(b) below as principal and (ii) in your capacity as agent for an identified third party, in which case you accept joint and several liability to pay the Purchase Price with your principal.

(e) In order to set up a Verified Account, you are required to supply the information requested, including valid credit card or other accepted payment method information. Sotheby's has absolute discretion to refuse an application to register for, or bid in, an Online Only Auction. Throughout the registration process, Sotheby’s has absolute discretion to request Bidders to supply such additional information and references as may be required by Sotheby's.

(f) Sotheby’s reserves the right to deactivate your Verified Account at any time prior to, during, or after an Online Only Auction.

6. Bidding in an Online Only Auction

(a) Bidding opens at a specified amount (which is below the presale low estimate for the Lot) and escalates in bid increments which are set out in the Online Sale Information relating to the Lot and which are determined at Sotheby’s discretion). Sotheby’s may vary the amount of the bid increments during the course of an Online Only Auction, at our sole discretion. Bids for a Lot may only be submitted between the dates and times specified in the Online Sale Information relating to the applicable Online Only Auction.

(b) An Online Only Auction can be fast-moving. Competitive bidding can often escalate very quickly. Once you have set up a Verified Account, you will be able to submit a bid for a Lot by entering your maximum bid and clicking the ‘Leave Bid’ button. If you haven’t already registered as a Verified Accountholder, you will be prompted to do so at that point. You will then be asked to review and confirm your maximum bid. As soon as the ‘Leave Bid’ button is clicked, your bid is submitted. You accept and agree that a bid which is submitted using the ‘Leave Bid’ button. Each Bidder will be entitled to amend, retract or revoke up to three separate bids in an Online Only Auction but thereafter, the Online Only Platform will not under any circumstances allow you to amend, retract or revoke a bid. If a bid is successfully submitted on a Lot in an Online Only Auction from a Bidder’s computer or mobile device, the Bidder irrevocably agrees to pay the amounts identified in Condition 8(b) below, in full. Sotheby’s is not responsible for any errors that the Bidder makes in bidding on a Lot. Sotheby’s reserves the right to restart an Online Only Auction or to restart bidding on a particular Lot if we consider it is necessary or appropriate or reasonable to do so.

(c) The Online Only Platform requires that you submit a bid which correlates to one of the increments set out in the bidding increment table which is available to view at Lot level.

(d) If you have the leading bid on a Lot, you will receive a notification on the Online Only Platform informing you that you are the highest bidder. If you are outbid by another Bidder, you will receive an email notification to inform you accordingly.

(e) In the event that you submit a bid for an amount at which a bid has already been accepted, your bid shall be rejected.

(f) Unless Sotheby’s decides to exercise its discretion in accordance with Condition 6(g) below, the highest bid when the Lot closes will be the successful Bidder. This means that a contract for sale has been formed between the Seller and the successful Bidder at the end of the Online Only Auction. The successful Bidder will receive an email notification of any successful bid and will be invoiced by Sotheby’s in accordance with Condition 8 below.

(g) The sale record for an Online Only Auction maintained by Sotheby’s will be taken as absolute and final in all disputes. In the event of any discrepancy between the sale record for an Online Only Auction maintained by Sotheby’s and any message or notification provided to you in relation to your bid on a Lot and/or the applicable Online Only Auction, the sale record for the Online Only Auction maintained by Sotheby’s shall prevail.

(h) Sotheby’s reserves the right, in our sole and absolute discretion, to reject, revoke or refuse to accept any bid submitted for a Lot using the Online Only Platform even those bids which have previously been accepted; to withdraw any Lot whether prior to or during the Online Only Auction and Sotheby’s shall have no liability whatsoever in connection with such withdrawal; to divide or combine any Lots; or to restart the bidding on a Lot at any time during the Online Only Auction.

7. Operation of the Online Only Platform

(a) Unless otherwise specified, all Lots are offered subject to a Reserve, which shall be no higher than the low presale estimate at the opening time for the applicable Online Only Auction. If any Lot is not subject to a Reserve, the ‘No Reserve’ symbol will be displayed against the Lot in the Online Sale Information. Under no circumstances will the system place any bid on behalf of the Seller at or above the Reserve.

(b) Sotheby’s offers the Online Only Platform as a convenience to its clients. The Online Only Platform shall be operated by Sotheby’s using reasonable care. The application that enables participation in an Online Only Auction via the Online Only Platform is optimized for broadband connectivity (DSL or cable modem). Broadband or other internet capacity constraints, corporate firewalls and other technical problems beyond our reasonable control may create difficulties for some users including, for example, in relation to accessing an Online Only Auction via the Online Only Platform and in maintaining continuity of such access. Sotheby’s will not be liable for any errors or failure by Bidders to place bids using the Online Only Platform via the internet or a mobile device (except where any such error or failure is within Sotheby’s reasonable control) including, without limitation, errors or failures caused by: (i) any loss of connection between Bidders and the Online Only Platform; (ii) a breakdown or fault with the online bidding software or other technical services which relate to the Online Only Platform; and/or (iii) a breakdown or fault with any internet connection, computer, mobile device or system.

(c) As a potential Bidder, you acknowledge and accept that you shall not be given an opportunity to inspect the property prior to bidding in the Online Only Auction.

8. Payment for a purchased Lot

(a) If you are a successful Buyer of a Lot, you will receive by email an invoice from Sotheby’s as soon as reasonably practicable after the final Lot in the relevant Online Only Auction closes. In the event of any discrepancy between the any email notifications received by you from the Online Only Platform and the invoice emailed to you by Sotheby’s after the relevant Online Only Auction closes, the invoice prevails. Terms and conditions regarding payment of the invoice are set out below.

The Buyer acknowledges that the sale contract with the Seller is made when the Online Only Auction of the Lot is closed and his/her/its bid proved to be the highest and successful bid.

(b) The invoice for the Purchase Price of the purchased Lot (the “Buyer’s Invoice”) which will include:

(i) the Hammer Price;

(ii) the Buyer’s Premium;

(iii) the ARR, if any; and

(iv) other duties, goods, sales or service tax or VAT, if any.

Subject to Condition 10(e), soon after the closure of the sale of the Lot, the Buyer will receive the Buyer’s Invoice from Sotheby’s. The Buyer will be asked to confirm his/her shipping address and if he/she is interested in having a shipping quote by a shipping company indicated by Sotheby’s. If so, the shipping company will provide the Buyer with a shipping agreement and a shipping quote. On the contrary, the Buyer shall sign a shipping agreement with a third party shipping company. Please refer to Condition 10 of these Conditions of Business for Buyers (Online Only) for further information. For international Buyers, the terms of sale are DAT (Delivered at Terminal) or DAP (Delivered at Place). If you have purchased a Lot for delivery outside of Italy, you acknowledge and agree that it is your responsibility to ascertain and pay all international duties, custom charges, taxes, charges and tariffs owed to the appropriate government entity or that otherwise need to be paid prior to shipment and/or delivery including any third party charges necessary to facilitate shipment.

Sotheby’s will send the Buyer’s Invoice upon receipt of the Buyer’s identity document (e.g. identity card, passport, driver’s license) and Buyer’s tax code (only for Italian Buyers). Where the Buyer is a legal entity Sotheby’s will send the Buyer’s Invoice upon receipt of the relevant company registration excerpt issued by the competent Chamber of Commerce (as of the sale date), a copy of a valid identity document of the legal representative (e.g. identity card, passport, driver’s license) and a copy of the tax code of the legal representative (for legal representatives of Italian-based companies). Moreover, pursuant to the Legislative Decree no. 231/2007, the Buyer shall disclose to Sotheby’s the identity of the beneficial owner, if any.

(c) Sotheby’s charges a Buyer’s Premium to the Buyer on the Hammer Price for each Lot sold. The amount of the Buyer’s Premium is set out in the Guide to Buying in an Online Only Auction above.

(d) The Buyer of a Lot is solely responsible for the payment of any VAT (including, but not limited to, any import VAT), sales tax or value added sales tax, sales or compensating use tax or any other similar tax payable as a result of the sale of a Lot. Further information and guidance as to the application of such taxes is provided in the Guide to Buying in an Online Only Auction set out above.

(e) In certain countries, local laws entitle the artists or the artist’s estate to the ARR when any Lot created by the artist is sold. If these laws apply to a Lot, the Buyer must pay Sotheby’s an additional amount equal to the ARR. Further information and guidance on the application of the ARR is provided in the Guide to Buying in an Online Only Auction set out above.

(f) Unless otherwise agreed, payment of the total amount specified on the purchase invoice for a Lot is due by the Buyer immediately following receipt of the Sotheby’s invoice for the relevant purchased Lot and in any event no later than 48 hours after receipt of the Sotheby’s receipt (the "Due Date") notwithstanding any requirements for export, import or other permits for such Lot. Sotheby’s will only accept payment from the registered Bidder and we cannot change the Buyer’s name on an invoice or reissue the invoice in a name which differs to the name of the registered Bidder. If you are registered to bid as a company, your company will need to pay for any purchases in the name of the company via an accepted payment method. Partial payment of a Lot, or payment across multiple credit cards for a single lot, is not permitted. Further information regarding accepted payment methods is set out in the Guide to Buying in an Online Only Auction set out above.

(g) Title in a purchased Lot will not pass until Sotheby's has received the total amounts due for that Lot in accordance with Condition 8(b) above in cleared funds. Sotheby's is not obliged to release a Lot to the Buyer until title in the Lot has passed and appropriate identification has been provided, and any earlier release does not affect the passing of title or the Buyer's unconditional obligation to pay the total amounts due for that Lot in accordance with Condition 8(b) above.

(h) Risk in and responsibility for the purchased Lot will transfer to the Buyer as follows: (i) if the shipping company indicated to the Buyer by Sotheby’s dispatches the Lot to the Buyer, when the Lot comes into the physical possession of the Buyer or a person indicated by the Buyer to take physical possession of the Lot on the Buyer’s behalf; or (ii) if collection by the Buyer in person is permitted for the relevant Online Only Auction, when the Buyer collects the Lot. However, the risk shall pass to the Buyer upon delivery to the shipping company if the shipping company was independently chosen by the Buyer to ship and deliver the Lot and that shipping company was not selected by Sotheby’s, without prejudice to the rights of the Buyer against the shipping company. As a Buyer, you acknowledge and agree that the Lot is at your risk if you choose to exercise any right you may have to cancel the contract for the purchase of the Lot (in accordance with the procedure set out at Condition 11 below) and that you should therefore ensure that you insure the Lot against loss or damage until it is returned to Sotheby’s.

(i) If you fail to pay us the total amounts due for the purchased Lot(s) in accordance with Condition 8(b) above in full by the Due Date, Sotheby’s will be entitled to exercise any of the remedies identified at Condition 9 below.

9. Remedies for non-payment

(a) In the event of non- or delayed payment by the Buyer, in full or in part, of the total amount due, Sotheby’s shall have the right, at their discretion, to request completion or to cancel the contract of sale under Art. 1454 Civil Code, with the understanding that the period for completion therein prescribed is conventionally agreed at 5 days, in all cases without prejudice to the right of compensation for damages and also to the power to have the lot sold on behalf, and at the expense, of the Buyer pursuant to Art. 1515 Civil Code.

(b) In the event of non- or delayed payment by the Buyer, in full or in part, of the total amount due, Sotheby’s shall have the right to debit any payment made by the Buyer to Sotheby’s or to any other Sotheby’s Company as the Buyer’s debt, represented by the total amount due, or any other sum owed by the Buyer to Sotheby’s or to any other Sotheby’s Company arising from other contractual relationships.

(c) In the event of delay in payment of the total amount due for a period of more than five (5) working days from the date of the auction Sotheby’s shall warehouse the lot on their premises or elsewhere at the risk and expense of the Buyer. Again in the event of delay in payment for a period greater than that indicated, the Buyer must pay Sotheby’s interest on the overdue payment equivalent to seven points over the legal rate, without prejudice to Sotheby’s right to compensation for a greater loss.

(d) In the event of non- or delayed payment by the Buyer, Sotheby’s may reject any bid made by the Buyer or his representative in the course of any future auctions or ask the Buyer to deposit a sum of money as security before accepting the bid.

(e) Sotheby’s, for and on behalf of any Sotheby’s Company, has the power to offset any sum due from themselves or from any Sotheby’s Company, under any heading, to the Buyer against any sum due from the Buyer, under any heading, to Sotheby’s or to any Sotheby’s Company.

10. Transport and Shipping

(a) As stated in Condition 8 above, as soon as practicable after the closure of the sale of the Lot, the Buyer will receive the Buyer’s Invoice from Sotheby’s. The Buyer will be asked to confirm his/her shipping address and if he/she is interested in having a shipping quote by a shipping company indicated by Sotheby’s. If so, the shipping company will provide the Buyer with a shipping agreement and a shipping quote. In the event that the Buyer has chosen the shipping company indicated by Sotheby’s pursuant to Condition 8, once the Buyer has paid in full the Buyer’s Shipping Costs and provided that the purchased Lot has been paid for in full by the Buyer, the shipping company will ship the purchased Lot to the Buyer to the address provided by you, no later than thirty (30) days from conclusion of the sale contract between the Seller and the Buyer, unless otherwise explicitly agreed with the shipping company. In the event that the Buyer has chosen a third party shipping company, Sotheby’s will deliver the Lot to the shipping company provided that the purchased Lot have been paid in full by the Buyer.

(b) The Buyer is responsible for payment of the Buyer’s Shipping Costs. Sotheby’s is not responsible for any acts or omissions by any third party retained for handling, packing and shipping of a purchased Lot. Similarly, where Sotheby’s may suggest or recommend any third party handler, packer or carrier if so requested by a Buyer, you acknowledge and agree that Sotheby’s does not accept liability for their acts or omission and you agree to release Sotheby’s from any such liability.

(c) Any Lot sold in an Online Only Auction may be affected by laws on exports from the country in which it is sold and the import restrictions of other countries. Many countries require a declaration of export for property leaving the country and/or an import declaration on entry of property into the country. Obtaining the necessary permits and/or licenses may result in additional costs and subsequent delays. Local laws may prevent you from importing a Lot or may prevent you from selling a Lot in the country which you import into. It is the Buyer's sole responsibility to identify and obtain any necessary export, import, endangered species or other permit for the lot. Any symbols or notices in the sale catalogue reflect Sotheby’s reasonable opinion at the time of cataloguing and offer Bidders general guidance only. For further guidance on export/import restrictions, please refer to the Guide to Buying in an Online Only Auction set out above.

(d) Without prejudice to Conditions 3 and 4 above, Sotheby's and the Seller make no representations or warranties as to whether any lot is or is not subject to export or import restrictions or any embargoes. The denial of any permit or license shall not justify cancellation or rescission of the sale contract or any delay in payment.

(e) Shipping company indicated by Sotheby’s to the Buyer is unable to arrange delivery to an Unavailable Destination). In the event that you request delivery of a Lot to an Unavailable Destination, Sotheby’s reserves the right to require you to collect the Lot from the Sotheby’s storage facility at via Alassio 10, Milan or to arrange delivery of the Lot by a third party carrier.

11. Cancellation of an Online Only Sale

(a) If the Buyer is an Online Consumer and the Seller is an Online Trader, the Buyer shall have the right to cancel the sale contract which exists directly between the Online Trader (as Seller) and the Online Consumer (as Buyer) during the Online Sale Cancellation Period for any reason provided that (i) the Online Consumer duly informs Sotheby’s during the Online Cancellation Period of their intention to cancel the purchase of the Lot; and (ii) the Online Consumer returns the Lot to Sotheby’s without undue delay and in any event not later than fourteen (14) calendar days from the day after the Online Consumer has communicated their intention to cancel the purchase of the Lot to Sotheby’s.

(b) To exercise the right to cancel the sale contract in relation to a Lot, the Online Consumer must inform Sotheby’s (being the company within the Sotheby’s Group and specified in the Online Sale Information which offers to sell the Lot either as agent for the Seller or as principal) of their decision to cancel the sale contract by a clear statement (e.g. a letter sent by post, fax or email). Alternatively, the Online Consumer may use the model cancellation form set out below. Provided that the Online Consumer sends the communication to inform Sotheby’s of the cancellation prior to the end of the Online Sale Cancellation Period, the Online Consumer will be deemed to have cancelled the sales contract within the Online Sale Cancellation Period.

(c) If the Online Consumer cancels the sales contract within the Online Sale Cancellation Period, Sotheby’s will reimburse payments received by Sotheby’s from the Online Consumer, without undue delay and in any event no later than fourteen (14) calendar days from the day on which Sotheby’s is informed of the Online Consumer’s decision to withdraw from the contract. Unless Sotheby’s has offered to collect the Lot, Sotheby’s may withhold the reimbursement until it has received the Lot or until the Online Consumer has proven to have sent back the Lot in a form that Sotheby’s considers adequate in its own discretion, whichever is the earlier).

(d) Sotheby’s will make the reimbursement to the Online Consumer using the same method of payment as the Online Consumer used for the initial transaction, unless expressly agreed otherwise. Sotheby’s will not charge the Online Consumer any fee in connection with processing the reimbursement.

(e) Sotheby’s shall not reimburse the Online Consumer by the amount of any supplementary costs which arise if you chose a type of delivery other than the least expensive type of standard delivery offered by Sotheby’s or any import duties we incur as a result of you returning the Lot to us. Sotheby’s is entitled to deduct from the reimbursement the amount of any loss in value of the Lot which is caused as a result of unnecessary handling by you.

(f) You shall send back the Lot or hand it over to our storage facility at via Alassio 10, Milano, without undue delay and in any event no later than 14 calendar days from the day after which you communicate your cancellation of your purchase of the Lot to us. This deadline is met if you send back the Lot before the period of 14 calendar days has expired. You will have to bear the direct costs of returning the Lot. If we arranged for the Lot to be delivered we estimate that the cost of returning the Lot by the same means is likely to be similar to the cost of delivery but it is not possible for us to be more accurate as to this cost due to the many variables involved in our worldwide business model and the means by which a return might be made.

12. Cancellation of Services

If the Buyer is an Online Consumer and the Seller is an Online Consumer, the Buyer shall not have the right to cancel the sale contract (in accordance with Condition 11 above). However, the Buyer shall be entitled to cancel the contract for any delivery services provided to the Buyer by the shipping company indicated by Sotheby’s in connection with your purchase of the Lot during the Services Online Sale Cancellation Period without giving any reason.

13. General

(a) All images and other materials produced for the auction are the copyright of Sotheby's, for use at Sotheby's discretion.

(b) Notices to Sotheby's should be in writing and addressed to the department in charge of the sale, quoting the reference number specified at the beginning of the sale catalogue. Notices to Sotheby's clients shall be addressed to the last address formally notified by them to Sotheby's.

(c) Should any provision of these Conditions of Business for Buyers (Online Only) be held unenforceable for any reason, the remaining provisions shall remain in full force and effect.

(d) These Conditions of Business for Buyers (Online Only) are not assignable by any Buyer without Sotheby's prior written consent, but are binding on Buyers' successors, assigns and representatives. No act, omission or delay by Sotheby's shall be deemed a waiver or release of any of its rights.

(e) The materials listed in Condition 1(a) above set out the entire agreement and understanding between the parties with respect to the subject matter hereof. It is agreed that, save in respect of liability for fraudulent misrepresentation, no party has entered into any contract pursuant to these terms in reliance on any representation, warranty or undertaking which is not expressly referred to in such materials.

14. Data protection

Sotheby's will use information provided by its clients (or which Sotheby's otherwise obtains relating to its clients) for the provision of auction and other art-related services, loan and insurance services, client administration, marketing and otherwise to manage and operate its business, or as required by law. This will include information such as the client's name and contact details, proof of identity, financial information, records of the client's transactions, and preferences. Some gathering of information about Sotheby's clients will take place using technical means to identify their preferences in order to provide a higher quality of service to them. Sotheby's may also disclose the client information to other Sotheby's Companies and/or third parties acting on their behalf to provide services for the purposes listed above.

Sometimes, Sotheby's may also disclose this information to carefully selected third parties for their own marketing purposes. If you do not wish your details to be used for this purpose, please email enquiries@sothebys.com.

In the course of these disclosures, personal data collected in the European Economic Area may be disclosed to countries outside the European Economic Area. Although such countries may not have legislation that protects a client’s personal information, Sotheby’s shall take reasonable steps to keep such information secure and in accordance with European data protection principles. By agreeing to these Conditions of Business for Buyers (Online Only), the client is agreeing to such disclosure.

Under European data protection laws, a client may object, by request and free of charge, to the processing of their information for certain purposes, including direct marketing, and may access and rectify personal data relating to them and may obtain more information about Sotheby's data protection policies by writing to Sotheby’s, 34-35 New Bond Street, London W1A 2AA, or 1334 York Avenue, New York, NY 10021, Attn: Compliance or emailing enquiries@sothebys.com.

15. Law and Jurisdiction

Governing Law These Conditions of Business for Buyers (Online Only) and all aspects of all matters, transactions or disputes to which they relate or apply (including any online bids in the sale to which these Conditions apply) shall be governed by and interpreted in accordance with Italian law.

Jurisdiction For the benefit of Sotheby’s, all Bidders and Sellers agree that the Court of Milan is to have exclusive jurisdiction to settle all disputes arising in connection with all aspects of all matters or transactions to which these Conditions of Business for Buyers (Online Only) relate or apply. All parties agree that Sotheby’s shall retain the right to bring proceedings in any court other than Italy.

Should the Buyer be a consumer in the meaning of the Consumer Code, to settle all disputes arising in connection with all aspects of all matters or transactions to which these Conditions of Business for Buyers (Online Only), the competent court is the court of the place where the Buyer resides or is domiciled. The consumer who is resident in a member state of the European Union other than Italy may also have access to the European procedure for minor disputes, set forth by Regulation (EC) no. 861/2007 of the Council, of 11 July 2007, on condition that the value of the dispute does not exceed, excluding interest, rights and expenses, 2,000.00 Euros.

Pursuant to Art. 141-sexies, 3rd paragraph of Consumer Code, Sotheby’s informs the Bidder who is a consumer in the meaning of the Consumer Code, that, in cases where a dispute between the consumer and Sotheby’s could not be settled further to a complaint submitted directly by the consumer to Sotheby’s, the latter shall provide the consumer with the information about the Alternative Dispute Resolution entity or entities (so called “ADR entities”, as set forth by Articles 141-bis et ss. of the Consumer Code) for consumer disputes stemming from a contract executed pursuant to the these Conditions of Business for Buyers (Online Only), specifying whether or not it will make use of the relevant ADR entities to settle the dispute.

Furthermore, Sotheby’s hereby informs the Bidder who is a consumer in the meaning of the Consumer Code, that a European platform for online dispute resolution for consumer disputes (so called “ODR platform”) has been established. The ODR platform is available at the following address http://ec.europa.eu/consumer/odr/ ; through the platform the consumer may find a list of the ADR entities and relevant link to their websites, as well as start an online dispute resolution procedure for resolving his/her dispute. The above shall be without prejudice to the consumer’s rights to resort the court competent for the dispute stemming from these Conditions of Business for Buyers (Online Only), regardless of the outcome of the out-of-court procedure, as well as to start, where applicable, an out-of-court dispute resolution procedure pursuant to Chapter V, Title II-bis of the Consumer Code.

Service of Process All Bidders and Sellers irrevocably consent to service of process or any other documents in connection with proceedings in any court by facsimile transmission, personal service, delivery by mail or in any other manner permitted by Italian law, the law of the place of service or the law of the jurisdiction where proceedings are instituted, at the last address of the Buyer or Seller known to Sotheby’s or any other usual address.

SOTHEBY’S AUTHENTICITY GUARANTEE FOR ANY PROPERTY

If Sotheby’s sells an item which subsequently is shown to be a “counterfeit”, subject to the terms below Sotheby’s will set aside the sale and refund to the Buyer the total amount paid by the Buyer to Sotheby’s for the item, in the currency of the original sale.

For these purposes, “counterfeit” means a Lot that in Sotheby’s reasonable opinion is an imitation created to deceive as to authorship, origin, date, age, period, culture or source, where the correct description of such matters is not reflected by the description in the catalogue (taking into account any Glossary of Terms). No lot shall be considered a counterfeit by reason only of any damage and/or restoration and/or modification work of any kind (including repainting or over-painting).

Please note that this Guarantee does not apply if either:-

(i) the catalogue description was in accordance with the generally accepted opinions of scholars and experts at the date of the sale, or the catalogue description indicated that there was a conflict of such opinions; or

(ii) the only method of establishing at the date of the sale that the item was a counterfeit would have been by means of processes not then generally available or accepted, unreasonably expensive or impractical to use; or likely to have caused damage to the Lot or likely (in Sotheby’s reasonable opinion) to have caused loss of value to the Lot; or

(iii) there has been no material loss in value of the Lot from its value had it been in accordance with its description.

This Guarantee is provided for a period of five (5) years after the date of the relevant auction, is solely for the benefit of the Buyer and may not be transferred to any third party. To be able to claim under this Guarantee, the Buyer must:

(i) notify Sotheby’s in writing within three (3) months of receiving any information that causes the Buyer to question the authenticity or attribution of the item, specifying the lot number, date of the auction at which it was purchased and the reasons why it is thought to be counterfeit; and

(ii) return the item to Sotheby’s in the same condition as at the date of sale to the Buyer and be able to transfer good title in the item, free from any third party claims arising after the date of the sale.

Sotheby's has discretion to waive any of the above requirements. Sotheby's may require the Buyer to obtain at the Buyer's cost the reports of two independent and recognized experts in the field, mutually acceptable to Sotheby's and the Buyer. Sotheby's shall not be bound by any reports produced by the Buyer, and reserves the right to seek additional expert advice at its own expense. In the event Sotheby's decides to rescind the sale under this Guarantee, it may refund to the Buyer the reasonable costs of up to two mutually approved independent expert reports.

SOTHEBY'S AUTHENTICITY GUARANTEE FOR JEWELLERY

If Sotheby's sells any gemstone or pearls which the Buyer subsequently shows to Sotheby's reasonable satisfaction not to be genuine or of natural origin, subject to the terms below Sotheby's will set aside the sale and refund to the Buyer the total amount paid by the Buyer to Sotheby's for such gemstones or pearls, in the currency of the original sale.

This Guarantee is provided for a period of twenty one (21) days after the closing date of the relevant Online Only Auction, is solely for the benefit of the Buyer and may not be transferred to any third party. To be able to claim under this Guarantee, the Buyer must:-

(i) notify Sotheby's in writing within such 21 day period of the reasons for not believing the gemstones or pearls to be genuine or of natural origin, specifying the lot number, dates of the Online Only Auction at which it was purchased; and

(ii) return the item to Sotheby's in the same condition as at the date of sale to the Buyer and be able to transfer good title in the item, free from any third party claims arising after the date of the sale.

Sotheby's has discretion to waive any of the above requirements. Sotheby's may require the Buyer to obtain at the Buyer's cost the reports of two independent and recognised experts in the field, mutually acceptable to Sotheby's and the Buyer. Sotheby's shall not be bound by any reports produced by the Buyer, and reserves the right to seek additional expert advice at its own expense. For these purposes, "counterfeit" means a lot that in Sotheby's reasonable opinion is an imitation created to deceive as to authorship, origin, date, age, period, culture or source, where the correct description of such matters is not reflected by the online catalogue description (taking into account any Glossary of Terms).

Please note that this Guarantee does not apply if either:-

(i) the online catalogue description was in accordance with the generally accepted opinion(s) of scholar(s) and expert(s) at the date of the sale, or the online catalogue description indicated that there was a conflict of such opinions; or

(ii) the only method of establishing at the date of the sale that the item was a counterfeit would have been by means of processes not then generally available or accepted, unreasonably expensive or impractical to use; or likely to have caused damage to the lot or likely (in Sotheby's reasonable opinion) to have caused loss of value to the lot; or

(iii) the item complained of comprises an atlas, an extra-illustrated book, a volume with fore-edged paintings, a periodical publication or a print or drawing; or

(iv) in the case of a manuscript, the lot was not described in the online catalogue description as complete; or

(v) the defect complained of was mentioned in the online catalogue description or the item complained of was sold un-named in a lot; or

(vi) the defect complained of is other than in text or illustration. For example, without limitation, a sale will not be set aside on account of damage to bindings, stains, foxing, marginal wormholes, lack of blank leaves or other conditions not affecting the completeness of the text or illustration, lack of list of plates, inserted advertisements, cancels or any subsequently published volume, supplement, appendix or plates or error in the enumeration of the plates; or

(vii) there has been no material loss in value of the lot from its value had it been in accordance with its description.

This Guarantee is provided for a period of five (5) years (in respect of counterfeit items) or twenty one (21) days (for items materially defective in text or illustration) after the closing date of the relevant Online Only Auction, is solely for the benefit of the Buyer and may not be transferred to any third party. To be able to claim under this Guarantee, the Buyer must:-

(i) notify Sotheby's in writing within three (3) months (for counterfeit items) or twenty one (21) days (in respect of items materially defective in text or illustration) with the reasons why the Buyer considers the item to be counterfeit or materially defective in text or illustration, specifying the lot number and the closing date of the relevant Online Only Auction at which it was purchased; and

r the reasonable costs of up to two mutually approved independent expert reports.
